Common use of Purchase and Sale of the Note Clause in Contracts

Purchase and Sale of the Note. Subject to the terms and conditions hereof and in reliance on the representations and warranties contained herein, or made pursuant hereto, the Company will issue and sell to the Purchaser, and the Purchaser will purchase from the Company at the closing of the transactions contemplated hereby (the “Closing”), the Note for in exchange for the Exchanged Shares.

Purchase and Sale of the Note. Subject to the terms and conditions hereof and in reliance on the representations and warranties contained herein, or made pursuant hereto, the Company will issue and sell to the Purchaser, and the Purchaser will purchase from the Company at the closing of the transactions contemplated hereby (the “Closing”), the Note for in exchange for $325,000 (the Exchanged Shares“ Purchase Price”).
