Common use of Purchase and Sale of Note Clause in Contracts

Purchase and Sale of Note. On the Closing Date (as defined below), the Company shall issue and sell to the Buyer and the Buyer agrees to purchase from the Company such principal amount of Notes as is set forth immediately below the Buyer’s name on the signature pages hereto (the “Purchase Price”).

On the Closing Date (as defined belowhereinafter defined), subject to the terms and conditions of this Agreement, the Investors hereby agrees to purchase, and the Company shall issue and sell to the Buyer and the Buyer hereby agrees to purchase from sell and issue, the Company Notes, with such principal amount of Notes Note as is set forth immediately below the Buyer’s name for each Investor on the its signature pages hereto (the “Purchase Price”)page hereto.
