Provisional Certificate. 14.3.1 The Independent Engineer may, at the request of the Concessionaire, issue a provisional certificate of completion substantially in the form set forth in Schedule-J (the "Provisional Certificate") if the Tests are successful and the Bus Terminal can be safely and reliably placed in commercial operation though certain works or things forming part thereof are outstanding and not yet complete. In such an event, the Provisional Certificate shall have appended thereto a list of outstanding items signed jointly by the Independent Engineer and the Concessionaire (the "Punch List"); provided that the Independent Engineer shall not withhold the Provisional Certificate for reason of any work remaining incomplete if the delay in completion thereof is attributable to the Authority.

Provisional Certificate. 12.2.1 Subject to the provisions of Clause 12.2.5, upon completion of all Works forming part of the Project Highway, save and except the Works for which Time Extension has been granted under Clause 10.5, the Authority’s Engineer shall, at the request of the Contractor, issue a provisional certificate of completion substantially in the form set forth in Schedule-L (the “Provisional Certificate”) if the Tests for and in respect of the completed Works are successful. The Provisional Certificate shall have appended thereto a list of outstanding items of work (the “Punch List”) that need to be completed in accordance with the provisions of this Agreement. The Contractor undertakes to complete the minor outstanding items of works in respect of those Sections of the Project Highway for which the Provisional Certificate has been issued, within a period of 30 (thirty) days of the date of Provisional Certificate, and those parts of the Works in respect of which Time Extension has been granted, within the extended period thereof. For the avoidance of doubt, the Parties agree that the Punch List shall include all Works for which Time Extension has been granted and shall also include any minor outstanding items of work forming part of the completed Sections if such works do not materially affect the use of the completed Sections for their intended purpose. The Parties further agree that Provisional Certificate shall not be issued if the completed Works can not be safely and reliably placed in service of the Users thereof.

Provisional Certificate. If the Project is complete and the Concessionaire certifies in writing that the Tests are successful and all the facilities required for rendering Hospitality Services, can be safely and reliably placed in commercial operation, even though certain works or things forming part thereof which do not affect the use and safety of the Project, or any part of the Project, for their intended purpose, are outstanding and are to be completed (the “Punch List”), the Independent Expert may, at the request of the Concessionaire, issue a provisional completion certificate, specifying the details of the Punch List which the Concessionaire shall be required to complete before issuance of a Completion Certificate (the “Provisional Certificate”). Upon issuance of such Provisional Certificate the Concessionaire shall be entitled to demand and collect the Revenue for rendering such Hospitality Services in accordance with this Agreement.

Upon such certification the Concessionaire shall be entitled to demand and collect the Fee for rendering such Diagnostic Services and OPD Services in accordance with this Agreement. Upon such determination, the Authority’s Engineer shall issue to the Contractor and the Authority a certificate substantially in the form set forth in Schedule-K (the “Provisional Certificate”). The Authority’s Engineer may issue a Provisional Certificate even if certain works forming part of the Railway Project are not yet completed and in such an event, the Provisional Certificate shall have appended thereto a list of outstanding items signed jointly by the Authority’s Engineer and the Contractor (the “Punch List”). For the avoidance of doubt and by way of illustration, the Punch List may include [fencing, tree plantation, rest areas, ***].

The Part-1 showing the critical/safety items and the Part-2 showing non-critical/non- safety items. The Authority Engineer may issue a Provisional Certificate to the Contractor and the Authority in the form set forth in Schedule-K (the “Provisional Certificate”), provided the items figuring in the Punch List of critical/safety items (Part-1) have been fully completed/attended to. The items figuring in the Punch List (Part-2) of non-critical/non-safety should be completed by contractor in a time frame as stipulated in Clause 12.3.
Provisional Certificate. The Independent Engineer and/or the Independent Panel, as the case may be, may, at the request of the Concessionaire, certify in writing if the Completion Tests are successful and all the facilities required for Project or any phase thereof, as the case may be, can be safely and reliably placed in commercial operation despite some works being incomplete. Upon such provisional certification the Concessionaire shall be entitled to demand and collect the Fee in relation to the completed part for rendering Services in accordance with this Agreement. For the avoidance of the doubt the Parties agree that notwithstanding anything to the contrary contained in this Clause 14.3, the obligations contained in Clause 12.3 shall continue to be binding on the Concessionaire. Such provisional certificate, if issued, shall carry a punch list (“Punch List”) of the remaining items to be completed, and the time period within which the same has to be completed for issue of completion certificate in respect thereof. Any failure to comply with the terms of the provisional certificate in regard to completion of punch list items enumerated therein shall make the Agreement liable for termination as if it were Concessionaire’s event of default.
