Provider’s Status. 1.2 At all times during the Contract the Provider shall be an independent Provider and nothing in the Contract shall create a contract of employment, a relationship of agency or partnership or a joint venture between the Parties and, accordingly, neither Party shall be authorised to act in the name of, or on behalf of, or otherwise bind the other Party save as expressly permitted by the terms of the Contract. Provider’s Status. The Contract is a contract for service and the Provider shall be acting as an independent contractor not as agent of the Council. Nothing in the Contract shall create, or be deemed to create a partnership between the parties. The Provider shall be exclusively responsible for discharging of any tax and VAT liability arising out of the remuneration for the Services provided under the Contract. Regulatory Body Registration and Notice The Provider warrants and represents:- that its holds all requisite regulatory registration required for provision of this Service; that it holds and will continue to hold the requisite registration during the existence of this Contract; that it holds and will continue to hold the necessary licence or other document enabling the Provider to provide the Service. The Provider must notify the Council: of any formal notice received from any Regulatory Body relating to the provision of the Service; or any order, or inquiry by any Regulatory Body into any misconduct or mismanagement in relation to the carrying out of the Service by the Provider; or in the event of being subject to an investigation by any Regulatory Body relating to the Service; or If the Provider's registration required for provision of the Service is withdrawn or cancelled. The Provider shall use the best applicable techniques and standards and perform each Call-Off Contract with all reasonable care, skill and diligence, and in accordance with good industry practice. Neither the acceptance of any report nor the payment of any invoice by an Employer under the terms of a Call Off Contract shall be construed as a waiver of any of the rights of the Authority or an Other Employer under this Framework Agreement or any Call-Off Contract. The Provider will perform the Services in accordance with the terms of this Framework Agreement. PROTOCOLS THE AUTHORITY MAY, BY WRITTEN NOTICE TO THE PROVIDER, ESTABLISH PROTOCOLS. BY WAY OF ILLUSTRATION ONLY, PROTOCOLS ESTABLISHED IN ACCORDANCE WITH CLAUSE 14.1 MAY (WITHOUT LIMITATION) DEAL WITH THE FOLLOWING MATTERS: DOCUMENT SECURITY; QUALITY ASSURANCE PROCEDURES; STANDARD FORMS FOR THE PROVISION OF ADVICE UNDER A CALL-OFF CONTRACT; GUIDANCE ON THE PROVISION OF CERTAIN TYPES OF ADVICE UNDER A CALL-OFF CONTRACT; TELEPHONE AND CORRESPONDENCE RESPONSE TIMES; THE PROVISION OF MANAGEMENT INFORMATION; AND FREQUENCY AND FORMAT OF BILLING. In the event of, and only to the extent of, any conflict between any Protocols established pursuant to this Clause and the terms and conditions of this Framework Agreement or the Call-Off Terms and Conditions, the terms and conditions of this Framework Agreement and the Call-Off Terms and Conditions shall each prevail over such Protocols. PRICES FOR SERVICES The prices offered by the Provider for Call-Off Contracts to Employers shall be the prices listed in Schedule 2 for the relevant service.
