Procedure. Each party entitled Promptly upon obtaining knowledge of any claim, demand, or suit which has given rise to, or could reasonably give rise to a claim, suit, or demand, for which an EDP Indemnitee or SDS Indemnitee, as the case may be (each an “Indemnified Entity”), seeks indemnification under this Section 5.6 Agreement (a “Subject Claim”), such Indemnified Entity shall give written notice of the Subject Claim (Indemnified PartyNotice of Claim”) shall give notice to SDS or EDP from whom indemnification is sought, as the party required to provide indemnification case may be (the each an “Indemnifying Party”) promptly after such ), setting forth the amount of the Subject Claim.
