Common use of Pending Actions Clause in Contracts

Pending Actions. To Seller's knowledge, Seller has not received written notice of any action, suit, arbitration, unsatisfied order or judgment, government investigation or proceeding pending against Seller which, if adversely determined, could individually or in the aggregate materially interfere with the consummation of the transaction contemplated by this Agreement.

To Seller's knowledge, if adversely determinedno such action, could individually suit, arbitration, administrative or judicial proceeding has been threatened in the aggregate materially interfere with the consummation of the transaction contemplated by this Agreementwriting.

To Seller's knowledge, Seller has not received written notice of of, and to Seller’s knowledge there does not exist, any action, suit, arbitration, unsatisfied order or judgment, government governmental investigation or proceeding pending or threatened against Seller Seller, third parties or the Property or the transaction contemplated by this Agreement, which, if adversely determined, could individually or in the aggregate materially have a material adverse effect on the Property or any portion thereof or the continued operation thereof or which could in any material way interfere with the consummation by Seller of the transaction contemplated by this Agreement.
