Common use of Patent and Copyright Registrations Clause in Contracts

Patent and Copyright Registrations. The Executive agrees to assist the Company, or its designee, at the Company's expense, in every proper way, to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights, trade secret rights or other intellectual property rights relating thereto in any and all countries. The Executive will disclose to the Company all pertinent information and data which the Company deems necessary for the execution of all applications, specifications, oaths, assignments and execute all instruments necessary to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees, the sole and exclusive right, title and interest in and to such Inventions, and any copyrights, patents, mask work rights, or other intellectual property rights relating thereto. If the Company is unable, because of the Executive's mental or physical incapacity or for any other reason, to secure her signature to apply for or to pursue any application for any patents or copyright registrations covering the Inventions assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her agent and attorney in fact, to act for and in the Executive's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The designation and appointment of the ExecutiveCompany and its duly authorized officers and agents as my agent and attorney in fact shall be deemed to be coupled with an interest and therefore irrevocable.

The foregoing agency shall apply to any applications or registrations, including any divisions, continuations, renewals, reissues, and extensions and other instruments and papers, as applicable, now existing or hereafter filed or issued. If the Company is unable, unable because of the Executive's my mental or physical incapacity or for any other reason, reason to secure her my signature with respect to any Inventions, including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions assigned to the Company as abovesuch Inventions, then the Executive I hereby irrevocably designates designate and appoints appoint the Company and its duly authorized officers and agents as her my agent and attorney in fact, to act for and in the Executive's my behalf and stead stead, to execute and file any such applications papers and oaths, and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters, patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by the Executiveme.

The Executive Consultant further agrees that the Executive's Consultant’s obligation to execute or cause to be executed, when it is in the ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable, unable because of the Executive's Consultant’s mental or physical incapacity or for any other reason, reason to secure her Consultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her its agent and attorney in fact, to act for and in the Executive's its behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveConsultant.

If the Company is unable, unable because of the Executive's mental or physical incapacity or for any other reason, reason to secure her Executive's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Executive's agent and attorney in fact, to act for and in the Executive's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

Patent and Copyright Registrations. The Executive agrees to Employee will assist the CompanyEmployer, or its designee, at the CompanyEmployer's expense, in every proper way, way to secure and protect the CompanyEmployer's rights in the Inventions and any related copyrights, patents, mask work rights, trade secret rights or other intellectual property rights relating thereto in any and all countries. The Executive Employee will disclose to the Company Employer all pertinent information and data which the Company deems necessary for the execution of data. The Employee will execute all applications, specifications, oaths, assignments and execute all other instruments that the Employer deems necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyEmployer, its successors, assigns, and nominees, nominees the sole and exclusive rightrights, title and interest in and to such Inventions, and any related copyrights, patents, mask work rights, rights or other intellectual property rights relating theretorights. The Executive further agrees that the ExecutiveEmployee's obligation to execute or cause to be executed, when it is in the Executive’s his power to do so, any such instrument or papers shall will continue after the termination of this Employment Agreement. If the Company Employer is unable, unable because of the ExecutiveEmployee's mental or physical incapacity or for any other reason, reason to secure her the Employee's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company Employer as above, then the Executive Employee hereby irrevocably designates and appoints the Company Employer and its duly authorized officers and agents as her his agent and attorney in attorney-in-fact. Accordingly, to the Employer may act for and in the ExecutiveEmployee's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveEmployee.

Patent and Copyright Registrations. If the Company is unable, unable because of the Executive's Director’s mental or physical incapacity or for any other reason, reason to secure her Director’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as set forth above, then the Executive Director hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Director’s agent and attorney in fact, to act for and in the Executive's Director’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveDirector.

If the Company is unable, because of the Executive's ’s mental or physical incapacity or for any other reason, to secure her his signature to apply for or to pursue any application for any patents or copyright registrations covering the Inventions assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's ’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

If the Company is unable, unable because of the Executive's my mental or physical incapacity or for any other reason, reason to secure her Executive’s signature with respect to any Inventions including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions assigned to the Company as abovesuch Inventions, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Executive’s agent and attorney in fact, to act for and in the Executive's ’s behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters, patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by the Executive.

The Executive will disclose , including the disclosure to the Company GAI of all pertinent information and data which the Company deems necessary for with respect thereto, the execution of all applications, specifications, oaths, assignments and execute all other instruments which the GAI shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the CompanyGAI, its successors, assigns, and nominees, nominees the sole and exclusive rightrights, title and interest in and to such Inventions, and any copyrights, patents, designs, mask work rights, rights or other intellectual property rights relating thereto. The Executive further agrees that the Executive's His obligation to execute or cause to be executed, when it is in the Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreementletter. If the Company GAI is unable, unable because of the Executive's his mental or physical incapacity or for any other reason, reason to secure her his signature to apply for or to pursue any application for any patents Hong Kong or foreign patents, designs or copyright registrations (if applicable) covering the Inventions or original works of authorship assigned to the Company GAI as above, then the Executive Mx. Xxx hereby irrevocably designates designate and appoints appoint the Company GAI and its duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's on his behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveMx. If the Company is unable, because of the Executive's mental or physical incapacity or for any other reason, to secure her his signature to apply for or to pursue any application for any patents or copyright registrations covering the Inventions assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The Executive further agrees to assist the CompanyCorporation, or its designee, at the Company's Corporation’s expense, in every proper way, way to secure the Company's Corporation’s rights in the Inventions Work Product and any copyrights, patents, mask work rights, trade secret rights or other intellectual property rights relating thereto in any and all countries. The Executive will disclose , including the disclosure to the Company Corporation of all pertinent information and data which the Company deems necessary for with respect thereto, the execution of all applications, specifications, oaths, assignments and execute all other instruments which the Corporation shall deem proper or necessary in order to apply for for, register, obtain, maintain, defend, and obtain enforce such rights and in order to assign and convey to the CompanyCorporation, its successors, assigns, and nominees, nominees the sole and exclusive rightrights, title and interest in and to such InventionsWork Product and any rights relating thereto, and any copyrights, patents, mask work rights, testifying in a suit or other intellectual property proceeding relating to such Work Product and any rights relating thereto. The Executive further agrees that the Executive's his obligation to execute or cause to be executed, when it is in the Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company Corporation is unable, unable because of the Executive's ’s mental or physical incapacity or for any other reason, reason to secure her the Executive’s signature with respect to any Work Product including, without limitation, to apply for or to pursue any application for any patents or copyright registrations covering the Inventions assigned to the Company as abovesuch Work Product, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents Chairman of the Board of the Corporation (or such other Corporation representative as her may be designated by the Corporation from time to time) as his agent and attorney in fact, to act for and in the Executive's his behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters, patent or copyright registrations thereon such Work Product with the same legal force and effect as if executed by the Executive. The Executive confirms that this power of attorney, being coupled with an interest, is irrevocable.

The Executive further agrees that the Executive's his obligation to execute or cause to be executed, executed when it is in the Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Amended 2010 Agreement. If the Company is unable, unable because of the Executive's ’s mental or physical incapacity or for any other reason, reason to secure her Executive’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's ’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The Executive agrees to Consultant shall assist the Company, or its designee, at the Company's expense, in every proper way, way to secure the Company's rights in the Inventions and any copyrights, patents, mask work rights, trade secret rights or other intellectual property rights relating thereto in any and all countries. The Executive will disclose , including the disclosure to the Company of all pertinent information and data which the Company deems necessary for with respect thereto, the execution of all applications, specifications, oaths, assignments and execute all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees, nominees the sole and exclusive rightrights, title and interest in and to such Inventions, and any copyrights, patents, mask work rights, rights or other intellectual property rights relating thereto. The Executive further Consultant agrees that the Executiveit is Consultant's obligation to execute or cause to be executed, when it is in the Executive’s Consultant's power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable, unable because of the ExecutiveConsultant's mental or physical incapacity or for any other reason, reason to secure her Consultant's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Consultant's agent and attorney in fact, to act for and in the ExecutiveConsultant's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveConsultant.

If the Company is unable, because of the Executive's ’s mental or physical incapacity or for any other reason, to secure her his signature to apply for or to pursue any application for any patents or copyright registrations covering the Inventions assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's ’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The Executive will disclose , including the disclosure to the Company of all pertinent information and data which the Company deems necessary for with respect thereto, the execution of all applications, specifications, oaths, assignments assignments, and execute all other instruments that the Company shall deem proper or necessary in order to apply for for, register, obtain, maintain, defend, and obtain enforce such rights rights, and in order to assign and convey to the Company, its successors, assigns, and nominees, nominees the sole and exclusive rightrights, title title, and interest in and to such InventionsInventions and any rights relating thereto, and any copyrightscooperating in all respects with including, patentsbut not limited to, mask work rights, testifying in a suit or other intellectual property proceeding relating to such Inventions and any rights relating thereto. The Executive Employee further agrees that the Executive's obligation to execute or cause to be executed, when it is in the ExecutiveEmployee’s power to do so, any such instrument or papers obligations under this paragraph shall continue after the termination of this Agreement. If the Company is unable, unable because of the Executive's Employee’s mental or physical incapacity or for any other reason, reason to secure her Employee’s signature with respect to any Inventions, including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions assigned to the Company as abovesuch Inventions, then the Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Employee’s agent and attorney in fact, to act for and in the Executive's Employee’s behalf and stead stead, to execute execute, deliver and file any such applications and all papers and oaths, and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters, patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by the ExecutiveEmployee.

The Executive further agrees that the Executive's obligation to execute or cause to be executed, when it is in the Executive’s 's power to do so, any such instrument or papers shall continue after the termination of this AgreementAgreement for a reasonable duration. If the Company is unable, because of the Executive's mental or physical incapacity or for any other reason, to secure her Executive's signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Executive's agent and attorney in fact, to act for and in the Executive's behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, patent letterspatent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The Executive further agrees that the Executive's his obligation to execute or cause to be executed, when it is in the Executive’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable, unable because of the Executive's ’s mental or physical incapacity or for any other reason, reason after a reasonable attempt to secure her obtain his signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the any Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Executive’s agent and attorney in fact, to act for and in the Executive's his behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.

The Executive Employee agrees to assist the Company, or its designee, at the Company's ’s expense, in every proper way, way to secure the Company's ’s rights in the Inventions and any copyrights, patents, mask work rights, trade secret rights or other intellectual property rights relating thereto in any and all countries. The Executive Employee further agrees that the Executive's his obligation to execute or cause to be executed, when it is in the Executive’s his power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable, unable because of the Executive's Employee’s mental or physical incapacity or for any other reason, reason to secure her Employee’s signature with respect to any Inventions including, without limitation, to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions assigned to the Company as abovesuch Inventions, then the Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's his behalf and stead to execute and file any such applications papers, oaths and to do all other lawfully permitted acts with respect to further the prosecution and issuance of letters, patent or copyright registrations thereon such Inventions with the same legal force and effect as if executed by the ExecutiveEmployee.

The Executive further Consultant agrees that the Executive's it is Consultant’s obligation to execute or cause to be executed, when it is in the ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. The Executive Consultant further agrees that the Executive's Consultant’s obligation to execute or cause to be executed, when it is in the ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable, unable because of the Executive's Consultant’s mental or physical incapacity or for any other reason, reason to secure her Consultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Consultant’s agent and attorney in fact, to act for and in the Executive's Consultant’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveConsultant.

The Executive further Employee agrees that this obligation of the Executive's obligation to execute or cause Employee shall continue to be executed, when it is in the Executive’s power to do so, any such instrument or papers shall continue force even after the termination of this Agreement. If the Company is unable, unable because of the Executive's Employee’s mental or physical incapacity or for any other reason, reason to secure her the signature of the Employee to apply for or to pursue any application for or pursue any application for any patents or copyright registrations registration covering the Inventions or original works of authorship assigned to the Company as above, then the Executive Employee hereby irrevocably designates designate and appoints appoint the Company and its duly authorized officers and agents as her the agent and attorney in factfact of the Employee, to act for and in on behalf of the Executive's behalf Employee and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveEmployee.

If the Company is unable, unable because of the Executive's my mental or physical incapacity or for any other reason, reason to secure her my signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Assigned Prior Inventions assigned to the Company as aboveor any Inventions, then the Executive I hereby irrevocably designates designate and appoints appoint the Company and its duly authorized officers and agents as her my agent and attorney in attorney-in-fact, to act for and in the Executive's my behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executiveme.

The Executive Consultant further agrees that the Executive's Consultant’s obligation to execute or cause to be executed, when it is in the ExecutiveConsultant’s power to do so, any such instrument or papers shall continue after the termination of this Agreement. If the Company is unable, unable because of the Executive's Consultant’s mental or physical incapacity or for any other reason, reason to secure her Consultant’s signature to apply for or to pursue any application for any United States or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive Consultant hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as her Consultant’s agent and attorney in fact, to act for and in the Executive's Consultant’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveConsultant.

If the Company is unable, because of the Executive's mental or physical incapacity or for any other reason, to secure her signature to apply for or to pursue pursuing any application for any PRC or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive Employee hereby irrevocably designates and appoints the Company and its duly authorized officers and agents as his/her agent and attorney in fact, to act for and in on the Executive's Employee’s behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the ExecutiveEmployee.

The Executive agrees Consultant and Mr. Blomen agree to assist the Company, or its designee, at the Company's ’s expense, in every proper way, way to secure the Company's ’s rights in the Inventions and any copyrights, patents, mask work rights, trade secret rights or other intellectual property rights relating Intellectual Property Rights related thereto in any and all countries. The Executive will disclose , including the disclosure to the Company of all pertinent information and data which the Company deems necessary for with respect thereto, the execution of all applications, specifications, oaths, assignments and execute all other instruments which the Company shall deem necessary in order to apply for and obtain such rights and in order to assign and convey to the Company, its successors, assigns, and nominees, Company the sole and exclusive right, title and interest in and to such Inventions, Inventions and any copyrights, patents, mask work rights, or other intellectual property rights Intellectual Property Rights relating thereto. The Executive Consultant and Mr. Blomen further agrees agree that the Executive's their obligation to execute or cause to be executed, when it is in the Executive’s my power to do so, any such instrument or papers shall continue after the termination of this Agreement and/or the Consulting Services Agreement. If the Company is unable, unable because of the Executive's Consultant’s or Mr. Blomen’s mental or physical incapacity or for any other reason, reason to secure her the appropriate signature to apply for or to pursue any application for any patents United States or copyright registrations foreign Intellectual Property Right covering the Inventions assigned to the Company as above, then the Executive Consultant and Mr. Blomen hereby irrevocably designates designate and appoints the appoint Company and its duly authorized officers and agents as her their agent and attorney in fact, to act for and in the Executive's their behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of lettersletters patent, patent or copyright copyright, trademark or other registrations thereon with the same legal force and effect as if executed by the ExecutiveConsultant and/or Mr. Blomen.

If the Company Executive is unable, unable because of the Executive's his mental or physical incapacity or for any other reason, reason to secure her his signature to apply for or to pursue any application for any United States of America or foreign patents or copyright registrations covering the Inventions or original works of authorship assigned to the Company as above, then the Executive hereby irrevocably designates and appoints the Company and its the Company’s duly authorized officers and agents as her his agent and attorney in fact, to act for and in the Executive's his behalf and stead to execute and file any such applications and to do all other lawfully permitted acts to further the prosecution and issuance of letters, letters patent or copyright registrations thereon with the same legal force and effect as if executed by the Executive.
