Common use of Pari Passu Guarantees Clause in Contracts

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreementall Other Guarantees.

Pari Passu Guarantees. (a) The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of with respect to preferred securities (if any) similar to the holders of preferred or capital securities Preferred Securities, issued by trusts other than the Issuer Trust and with any other security, guarantee established or other obligation that is expressly stated to rank pari passu with the obligations of be established by the Guarantor under this Guarantee Agreement(if any), in each case similar to the Issuer.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities Trust Securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any KeyCorp Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.Indenture). 17 13

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreementbusiness trust.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the any Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with (as defined in the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement (other than those arising under Section 3.3) shall rank pari passu with any similar guarantee agreements issued by the obligations of the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with under any other security, guarantee or other agreement or obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement or with any obligation that ranks pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities similar to any series of Debentures issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations subsidiary of the Guarantor under this Guarantee Agreementin the past or future.

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred securities of any other trust, partnership or capital other entity affiliated with the Guarantor which is a financing vehicle of the Guarantor or any subsidiary of the Guarantor in connection with the issuance by such entity of preferred securities issued or other securities which are similar to preferred securities that are guaranteed by the Issuer Trust and with any other security, guarantee or other obligation Guarantor pursuant to an instrument that is expressly stated to rank ranks pari passu with the obligations or junior in right of the Guarantor under payment to this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the obligations of the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with under any other security, guarantee or other obligation agreement that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementAgreement and which includes the obligations of the Guarantor under (i) the Indenture, (ii) the Securities, and (iii) the Expense Agreement (as defined in the Declaration of Trust).

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities subordinated unsecured notes issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Mellon Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities senior notes issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any HL&P Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities subordinated notes issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee trusts established by Edison International or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreementits Affiliates.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Preferred Securities Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this any similar Preferred Securities Guarantee Agreement(as defined in the Indenture) now or hereafter entered into by the Guarantor in respect of any other trust or any other similar financing vehicle sponsored by the Guarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Common Securities Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this any similar Common Securities Guarantee Agreement(as defined in the Indenture) now or hereafter entered into by the Guarantor in respect of any other trust or similar financing vehicle sponsored by the Guarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Citizens Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement (other than those arising under Section 3.3 hereof) shall rank pari passu with any similar guarantee agreements issued by the obligations of the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with under any other security, guarantee or other agreement or obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement or with any obligation that ranks pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any First Union Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu PARI PASSU with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu PARI PASSU with the obligations of the Guarantor under this Guarantee Agreement.. 13

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities similar to any series of Debentures issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations subsidiary of the Guarantor under this Guarantee Agreementin the future.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust Securities and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any other trust similar to the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Xxxxxxxx'x Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities the Trust Securities issued by any IDACORP Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities senior debentures issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Xxxxx Capital Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with (as defined in the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Willamette Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities subordinated debentures issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital trust securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of a trust created by the Guarantor under this Guarantee Agreementsimilar to Budget Group Capital Trust.

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor as a direct, unsecured senior obligation on behalf of the holders of preferred or capital senior securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any USF&G Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities similar to the Securities issued by the Issuer Trust and with any other securitytrust, guarantee partnership or other obligation entity affiliated with the Guarantor that is expressly stated to rank pari passu with the obligations a financing entity of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Preferred Securities Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Preferred Securities Guarantee issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Allstate Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar subordinated guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital debt securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations subsidiary of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Schwab Capital Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.Indenture). 16 12

The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities subordinated unsecured notes issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations Affiliate of the Guarantor under this Guarantee AgreementGuarantor.

The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the obligations of the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other agreement or obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementAgreement and which includes the obligations of the Guarantor under (i) the Indenture, (ii) the Securities and (iii) the Expense Agreement (as defined in the Declaration of Trust).

Pari Passu Guarantees. (a) The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementHolders.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor relating to the BFG QUIPSSM and any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by a trust or similar entity created by the Issuer Trust Guarantor and with any other securitysimilar to Coltec Capital Trust, guarantee or other obligation that is expressly stated which securities have substantially equivalent terms to rank pari passu with the obligations those of the Guarantor under this Guarantee AgreementTrust Securities.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Provident Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreementstatutory trust.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar senior guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital debt securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations subsidiary of the Guarantor under this Guarantee Agreementand with the Senior Debt.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any FPC Capital Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Capital Securities Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Capital and/or Preferred Securities Guarantee issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Allstate Trust (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementIndenture).

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital common securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.

Pari Passu Guarantees. The obligations of the Guarantor under this Exchange Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee AgreementExchange Guarantee.

Pari Passu Guarantees. The obligations of the Guarantor under this This Guarantee Agreement shall rank pari passu with any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital senior securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu entity affiliated with the obligations Guarantor which is a financing vehicle of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued by any Mellon Trust (as defined in the Issuer Indenture), except to the extent that the debt securities owned by such Mellon Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with constitute Senior Debt (as defined in the obligations Indenture) of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. The obligations of the Guarantor under this Series B Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities issued from time to time by the Issuer Trust and with any other security, guarantee one or other obligation that is expressly stated to rank pari passu with the obligations more business trusts of the Guarantor under this Guarantee AgreementGuarantor.

Pari Passu Guarantees. (a) The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of with respect to preferred securities (if any) similar to the holders of Preferred Securities, issued by trusts other than the Issuer established or to be established by the Guarantor (if any), in each case similar to the Issuer, including, without limitation, the guarantee agreement issued by the Guarantor with respect to the preferred or capital securities issued by the Issuer Tower Group Statutory Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Agreement.I.

The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements Guarantee Agreements issued by the Guarantor on behalf of the holders of preferred or capital securities the Trust Securities issued by the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with (as defined in the obligations of the Guarantor under this Guarantee AgreementIndenture).

The obligations of the Guarantor under this Guarantee Agreement shall rank pari passu with the obligations of the Guarantor under any similar guarantee agreements issued by the Guarantor on behalf of the holders of preferred or capital securities similar to the Preferred Securities and issued by any Affiliate (as defined in the Issuer Trust and with any other security, guarantee or other obligation that is expressly stated to rank pari passu with the obligations of the Guarantor under this Guarantee Subordinated Loan Agreement).

Pari Passu Guarantees. Pari Passu Guarantees.
