Common use of Par Value Clause in Contracts

Par Value. As a condition precedent to the taking of any action which would cause an adjustment reducing the Exercise Price below the then par value, if any, per share of the Warrant Shares, the Corporation will take such corporate action as may, in the opinion of its counsel, be necessary in order that the Corporation may validly and legally issue its Common Stock at the Exercise Price upon exercise of this Warrant in accordance with the provisions hereof.
