The Equipment described in Section 1.2 and SCHEDULE 1.2 of this Agreement constitutes all the items of tangible personal property owned by, in the possession of, or used by Seller in connection with the business sold pursuant to this Agreement. The Equipment listed in SCHEDULE 1.2 constitutes all tangible personal property necessary for the conduct by Seller of the business as now conducted. No Equipment used by Seller in connection with its business to be sold pursuant to this agreement is held under any lease, security agreement, conditional sales contract, or other title retention or security arrangement.
