Common use of Other Agents Clause in Contracts

Other Agents. None of the Lenders or other Persons identified on the facing page or signature pages of this Agreement as a “syndication agent,” “documentation agent,” “co–agent,” “joint book runner” or “joint lead arranger” shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, in the case of such Lenders, those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.

Other Agents. None Except as expressly set forth herein, none of the Lenders or other Persons identified on the facing page or signature pages of this Agreement as a “syndication agent,” Joint Lead Arranger and Joint Bookrunner”, the “documentation agent,” Co-Syndication Agent”, a “co–agent,” “joint book runnerCo-Documentation Agent” or a “joint lead arrangerSenior Managing Agent” shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, in the case of such Lenders, those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.

Without limiting the foregoing, none of the Lenders or other Persons so identified as the "Documentation Agent," "Syndication Agent" or a "Co-Agent" shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.

Other Agents. None of the Lenders or other Persons identified on the facing cover page or the signature pages of this Agreement or otherwise herein, or in any amendment hereof or other document related hereto, as being a “syndication agent,” “documentation agent,” “co–agent,” “joint book runnerCo-Documentation Agent” or “joint lead arrangerSyndication Agent” (collectively the “Other Agents”) shall have any right, power, obligation, liability, responsibility or duty under this Agreement in such capacity other than, in the case of such Lenders, than those applicable to all Lenders as suchLenders. Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified Other Agents in deciding to enter into this Agreement or in taking or not taking any action hereunderhereunder or pursuant hereto.

Each Lender acknowledges that it has not relied, and will not rely, on any of the Arranger, Agent, the Lenders or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.

Other Agents. None of the Lenders No Lender or other Persons identified on the facing page or signature pages of this Agreement as a “syndication agent,” “"documentation agent,” “" "co–-documentation agent,” “joint " "book runner” manager," "lead manager," "arranger," or “joint "lead arranger” " shall have any right, power, obligation, liability, responsibility responsibility, or duty under this Agreement other than, in the case of such Lenders, those applicable to all Lenders as such. Without limiting the foregoing, none of the no Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.

None of the Lenders or other Persons identified on the facing cover page or signature pages of this Agreement as a “syndication collateral agent,” “documentation agent,” “co–syndication agent,” “joint book runnerarranger” or “joint lead arrangerco-manager” shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, in the case of such Persons in their respective capacities as Lenders, those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders no Lender or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders other Lender or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder.

Other Agents. None of the Lenders or other Persons identified on the facing cover page or signature pages of this Agreement as a “syndication agent,Co-Syndication Agent”, “Co-Documentation Agent”, “Joint Bookrunner” and “documentation agent,” “co–agent,” “joint book runnerJoint Lead Arranger” or “joint lead arranger” any affiliate of such Lender, shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, in the case of such Lendersany Lender, those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders or other Persons so identified (or such affiliates) shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified (and such affiliates) in deciding whether to enter into this Agreement or in taking or not taking action hereunder.. 109

Other Agents. None of the Lenders No Lender or other Persons Person identified on the facing page, the initial page or the signature pages of this Agreement as a “syndication being an "agent,” “documentation agent,” “co–agent,” “joint book runner” or “joint lead arranger” " (other than the "Administrative Agent" and the "Managing Agent" which have been provided for above) shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, in the case of such Lenders, if any, those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders or other Persons so identified identified, if any, shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders Lender or other Persons Person so identified in deciding to enter into this Agreement or in taking or not refraining from taking any action hereunderhereunder or pursuant hereto.

Other Agents. None of the Lenders or other Persons identified on the facing page or signature pages of this Agreement as a “"book manager," "joint book manager," "lead arranger," "joint lead arranger," "syndication agent,” “" or "co-syndication agent" "documentation agent,” “" or "co–-documentation agent,” “joint book runner” or “joint lead arranger” " shall have any right, power, obligation, liability, responsibility or duty under this Agreement other than, in the case of such Lenders, than those applicable to all Lenders as such. Without limiting the foregoing, none of the Lenders or other Persons so identified shall have or be deemed to have any fiduciary relationship with any Lender. Each Lender acknowledges that it has not relied, and will not rely, on any of the Lenders or other Persons so identified in deciding to enter into this Agreement or in taking or not taking action hereunder..
