Common use of Opinions of Local Counsel Clause in Contracts

Opinions of Local Counsel. Delivery to the Collateral Agent of an opinion of counsel (which counsel shall be satisfactory to the Collateral Agent and the LC Agent) under the laws of each jurisdiction in which any Credit Party or any real property Collateral is located with respect to the creation and perfection of the security interests in favor of the Collateral Agent in such Collateral and such other matters governed by the laws of such jurisdiction regarding such security interests as the Collateral Agent and/or the LC Agent may request, in each case in form and substance satisfactory to such Person.

Opinions of Local Counsel. Delivery to the Collateral Agent of an opinion of counsel (which counsel shall be reasonably satisfactory to the Collateral Agent and the LC Agent) under the laws of each jurisdiction deemed necessary by Collateral Agent in which any Credit Loan Party or any real personal or mixed property Collateral is located with respect to the creation and perfection (or continuation and continued perfection) of the security interests in favor of the Collateral Agent in such Collateral and such other matters governed by the laws of such jurisdiction regarding such security interests as the Collateral Agent and/or the LC Agent may reasonably request, in each case in form and substance reasonably satisfactory to such PersonCollateral Agent.

Delivery to the Collateral Agent of an opinion opinions of outside counsel to the Loan Parties (which counsel shall be reasonably satisfactory to the Collateral Agent and the LC Agent) under the laws of each jurisdiction in which any Credit Loan Party or any real personal or mixed property Collateral is located with respect to the creation and perfection of the security interests in favor of the Collateral Agent in such Collateral and such other matters governed by the laws of such jurisdiction regarding such security interests as the Collateral Agent and/or the LC Agent may reasonably request, in each case in form and substance reasonably satisfactory to such Personthe Collateral Agent.
