Common use of Opinion of Counsel to the Company Clause in Contracts

Opinion of Counsel to the Company. Each Pass Through Trustee and the Loan Trustee shall have received (i) an opinion addressed to it from Xxxxxx Xxxxxxxx, Esq., General Counsel of the Company (or from such other internal counsel to the Company as shall be reasonably satisfactory to the Pass Through Trustees) substantially in the form set forth in Exhibit A-1 and (ii) an opinion addressed to it from Debevoise & Xxxxxxxx LLP substantially in the form set forth in Exhibit A-2.

Opinion of Counsel to the Company. Each such Pass Through Trustee and the Loan Trustee shall have received (i) an opinion addressed to it from Xxxxxx Xxxxxxxxthe General Counsel, Esq., Deputy General Counsel or Associate General Counsel of the Company (or from such other internal counsel to the Company as shall be reasonably satisfactory to the such Pass Through Trustees) Trustee), substantially in the form set forth in Exhibit A-1 and (ii) an opinion addressed to it from Debevoise & Xxxxxxxx LLP substantially in the form set forth in Exhibit A-2.A.

Opinion of Counsel to the Company. Each Pass Through Trustee and the Loan Trustee shall have received (i) an opinion addressed to it from Xxxxxx Xxxxxxxx, Esq., General Counsel of the Company (or from such other internal counsel to the Company as shall be reasonably satisfactory to the Pass Through Trustees) substantially in the form set forth in Exhibit A-1 B-1 and (ii) an opinion addressed to it from Debevoise & Xxxxxxxx LLP substantially in the form set forth in Exhibit A-2B-2.

No.] Exhibit 4.12 Xxxxxx Xxxxxxxx, Esq., General Counsel of the Company (or from such other internal counsel to the Company as shall be reasonably satisfactory to the Pass Through Trustees) substantially in the form set forth in Exhibit A-1 B-1 and (ii) an opinion addressed to it from Debevoise & Xxxxxxxx LLP substantially in the form set forth in Exhibit A-2B-2.
