Common use of Opinion of Counsel for Underwriter Clause in Contracts

Opinion of Counsel for Underwriter. The Underwriter shall have received from Xxxxxx & Xxxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing Date, with respect to such matters as the Underwriter may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of Counsel for Underwriter. The Underwriter shall have received from Xxxxxx & Xxxxxxx LLP, counsel for the Underwriter, shall have furnished to the Underwriter such written opinion or opinionsand statement, dated such Closing Date, with respect in form and substance satisfactory to such matters as the Underwriter may requireyou, and such counsel may also state that they have relied, to the extent they deem proper, upon certificates of officers of the Company shall have furnished or any of its subsidiaries and certificates of public officials to such counsel such documents as they request for the purpose of enabling enable them to pass upon such matters.

Opinion of Counsel for Underwriter. The Underwriter shall have received from If requested by the Underwriter, the favorable opinion of Xxxxxx Xxxxxx & Xxxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing DateDate of Delivery, with respect relating to the Option Securities to be purchased on such matters Date of Delivery and otherwise to the same effect as the Underwriter may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such mattersopinion required by Section 5(c) hereof.

Such counsel may state that, insofar as such opinion or opinionsinvolves factual matters, dated such Closing Datethey have relied, with respect to such matters as the Underwriter may requireextent they deem proper, upon certificates of officers and other representatives of the Company shall have furnished to such counsel such documents as they request for the purpose Partnership Entities and certificates of enabling them to pass upon such matterspublic officials.

The Underwriter Representative shall have received from Xxxxxx Xxxxxxx Xxxxxxx & Xxxxxxx Xxxxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing Date, with respect to such matters as the Underwriter Representative may require, and the Selling Stockholders and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

The Underwriter shall have received from Xxxxxx & Xxxxxxx LLPDLA Piper LLP (US), counsel for the Underwriter, such opinion or opinions, dated such Closing Dateas of the Closing, with respect to such matters as the Underwriter may reasonably require, and the Company and the Parent shall have furnished to such counsel such documents as they request for the purpose of enabling them it requests to enable it to pass upon such matters.

Opinion of Counsel for Underwriter. The Underwriter shall have received from Xxxxxx & Xxxxxxx Xxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing Date, with respect to such matters as the Underwriter may require, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters. In rendering such opinion, Xxxxxx & Xxxxxx LLP may rely as to all matters governed by Maryland law upon the opinion of Arent Fox LLP referred to above.

The Underwriter shall have received from Xxxxxx & Xxxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing Date, with respect to such matters as the Underwriter may require, and negative assurance letter, in form and substance reasonably satisfactory to the Underwriter, in each case dated such Closing Date, and the Company shall have furnished to such counsel such documents as they request for the purpose of enabling them to pass upon such matters.

Opinion of Counsel for Underwriter. The At the Closing Time, the Underwriter shall have received from Xxxxxx the favorable opinion, dated the Closing Time, of Dxxxx Xxxx & Xxxxxxx Wxxxxxxx LLP, counsel for the Underwriter, such opinion or opinions, dated such Closing Date, with respect to such matters as the Underwriter may requirereasonably request, and the Company such counsel shall have furnished to such counsel received such documents and information as they may reasonably request for the purpose of enabling to enable them to pass upon such matters.
