At the Closing Time, the Representatives Representative shall have received the favorable opinion and negative assurance letteropinion, dated as of the Closing Time, of from Xxxxxxx Xxxxxxx & Xxxxxxxx Xxxxx LLP, counsel for the Underwriters, together with signed or and reproduced copies of such letter letters for each of the other Underwriters Underwriters, which opinion shall be in a form reasonably and substance satisfactory to the UnderwritersRepresentative.

Opinion of Counsel for the Underwriters. At On the Closing TimeDate, the Representatives shall have received the favorable opinion and 10b-5 negative assurance letter, dated as statement of the Closing Time, of Xxxxxxx Xxxxxxx Xxxxx Xxxx & Xxxxxxxx LLP, counsel for the Underwriters, together with signed or reproduced copies dated as of such letter for each of the other Underwriters in a form Closing Date, with respect to such matters as may be reasonably satisfactory to requested by the Underwriters.

Opinion of Counsel for the Underwriters. At On the Closing TimeDate, the Representatives shall have received the favorable opinion and negative assurance letter, dated as letter of the Closing Time, of Xxxxxxx Xxxxxxx & Xxxxxxxx Cxxxxx LLP, counsel for the UnderwritersUnderwriters in connection with the offer and sale of the Securities, together with signed or reproduced copies dated as of such letter for each of the other Underwriters date, in a form reasonably and substance satisfactory to the Underwriters.
