Common use of Opinion of Counsel for the Selling Stockholder Clause in Contracts

Opinion of Counsel for the Selling Stockholder. The Underwriter shall have received on and as of the Closing Date or the Additional Closing Date, as the case may be, an opinion, addressed to the Underwriter, from each of Lxxxxx & Wxxxxxx LLP and Torys LLP, counsel for the Selling Stockholder, each in form and substance reasonably satisfactory to the Underwriter.

Opinion of Counsel for the Selling Stockholder. The Underwriter At the Closing Time, the Underwriters shall have received on and as of the opinion, dated the Closing Date or the Additional Closing DateTime, as the case may beof Xxxxxx, an opinionXxxxxxxx and Xxxxxx, addressed to the Underwriter, from each of Lxxxxx & Wxxxxxx LLP and Torys LLPP.A., counsel for the Selling Stockholder, each in the form and substance reasonably satisfactory to the Underwriter.of Exhibit C.

Opinion of Counsel for the Selling Stockholder. The At the Closing Time, the Underwriter shall have received on and as of the favorable opinion, dated the Closing Date or the Additional Closing DateTime, as the case may be, an opinion, addressed to the Underwriter, from each of Lxxxxx & Wxxxxxx LLP and Torys LLPXxxxxx XxXxxxxx PC, counsel for the Selling Stockholder, each in form and substance reasonably satisfactory to counsel for the Underwriter.

Opinion of Counsel for the Selling Stockholder. The Underwriter shall have received on and as of an opinion, dated the Closing Date or the Additional Closing Date, as the case may be, an opinion, and addressed to the Underwriter, from each of Lxxxxx Skadden, Arps, Slate, Meager & Wxxxxxx Xxxx LLP and Torys LLP, counsel for substantially in the Selling Stockholder, each in form and substance reasonably satisfactory acceptable to the UnderwriterUnderwriter and its counsel.

Opinion of Counsel for the Selling Stockholder. The Underwriter Underwriters shall have received on and as of the Closing Date or an opinion and letter (reasonably satisfactory to the Additional Underwriters and counsel for the Underwriters), dated the Closing Date, as the case may be, an opinion, addressed to the Underwriter, from each of Lxxxxx Xxxxxx Xxxxxxxx Xxxxx & Wxxxxxx LLP and Torys Xxxxxxxx LLP, counsel for the Selling Stockholder, each in form and substance reasonably satisfactory addressed to the UnderwriterUnderwriters, with respect to the matters listed in Exhibit A-4 hereto.
