Common use of Opinion of Counsel for the Selling Stockholder Clause in Contracts

Opinion of Counsel for the Selling Stockholder. At the Closing Date and in connection with any Option Closing Date, the Representative shall have received the opinion, dated the Closing Date or Option Closing Date, as applicable, of Squire Xxxxxx Xxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters.

Opinion of Counsel for the Selling Stockholder. At the Closing Date and in connection with any Option Closing Date, the Representative Representatives shall have received the opinion, opinion dated the Closing Date or Option Closing Date, as applicable, of Squire Xxxxxx each of (i) internal counsel for the Selling Stockholder and (ii) Xxxxx LLPXxxxx L.L.P., counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters.

Opinion of Counsel for the Selling Stockholder. At On the Closing Date and in connection with any Option or the Subsequent Closing Date, as the Representative case may be, the Representatives shall have received the opinion, dated the Closing Date or Option Closing Date, as applicable, favorable opinion of Squire Xxxxxx Xxxxx LLPFulbright & Jxxxxxxx L.L.P., counsel for the Selling Stockholder, in dated as of such Closing Date, the form and substance reasonably satisfactory to counsel for the Underwriters.of which is attached as Exhibit D.

Opinion of Counsel for the Selling Stockholder. At On each of the First Closing Date and in connection with any each Option Closing DateDate at which Optional Shares shall be sold by the Selling Stockholder, as applicable, the Representative Representatives shall have received the opinionopinion of Xxxxxxxxx Xxxxx Xxxxxxx & Xxxxx, dated the Closing Date or Option Closing Date, as applicable, of Squire Xxxxxx Xxxxx LLPP.C., counsel for the Selling Stockholder, dated as of such date, in form and substance reasonably satisfactory to counsel for the Underwriters.

At the Closing Date and in connection with any Option Closing Date, the Representative Representatives shall have received the opinion, dated the Closing Date or Option Closing Date, as applicable, of Squire Xxxxxx Xxxxx Pxxxxx Bxxxx LLP, counsel for the Selling Stockholder, in form and substance reasonably satisfactory to counsel for the Underwriters.

Opinion of Counsel for the Selling Stockholder. At the Closing Date and in connection with any Option Closing Date, the Representative shall have received the opinion, dated the Closing Date or Option Closing Date, as applicable, of Squire Xxxxxx Xxxxx LLP, counsel for the Selling Stockholder, shall have furnished to the Representative, at the request of the Selling Stockholder, their written opinion, dated the Closing Date or the Additional Closing Date, as the case may be, and addressed to the Underwriters, in form and substance reasonably satisfactory to counsel for the UnderwritersRepresentative.
