Common use of Opinion of Counsel for the Selling Shareholders Clause in Contracts

Opinion of Counsel for the Selling Shareholders. At Closing Time, the Underwriter shall have received the opinion, dated as of Closing Time, of Ropes & Xxxx LLP, counsel for the Selling Shareholders, in a form and substance satisfactory to the Underwriter.

Opinion of Counsel for the Selling Shareholders. At Closing Time, the Underwriter shall have received the opinionfavorable opinions, dated as of Closing Time, of Ropes (i) Xxx Xxxxx Xxxxx and (ii) Xxxxx & Xxxx LLPXxXxxxxx, in each case, in form and substance reasonably satisfactory to counsel for the Selling ShareholdersUnderwriter, in a form and substance satisfactory to the Underwritereffect set forth in Exhibits B and BB, respectively.

Opinion of Counsel for the Selling Shareholders. At Closing Time, the Underwriter shall have received the opinionfavorable opinions, dated as of Closing Time, of Ropes (i) Ixx Xxxxx Xxxxx and (ii) Bxxxx & Xxxx LLPMxXxxxxx, in each case, in form and substance reasonably satisfactory to counsel for the Selling ShareholdersUnderwriter, in a form and substance satisfactory to the Underwritereffect set forth in Exhibits B and BB, respectively.

Opinion of Counsel for the Selling Shareholders. At Closing Time, the Underwriter shall have received the favorable opinion, dated as of Closing Time, of Ropes & Xxxx LLP, each counsel for the Selling ShareholdersShareholders (which counsel shall be satisfactory to the Underwriter), each in a form and substance satisfactory to counsel for the Underwriter, to the effect set forth in Exhibit A-3 hereto and to such other effect as counsel for the Underwriter may reasonably request.

Opinion of Counsel for the Selling Shareholders. At the Closing Time, the Underwriter shall have received the favorable opinion, dated as of the Closing Time, of Ropes Sxxxxxx Xxxxxxx & Xxxx Bxxxxxxx LLP, counsel for the Selling Shareholders, in a form and substance satisfactory to counsel for the Underwriter, substantially in the form of Exhibit B hereto and to such further effect as counsel to the Underwriter may reasonably request.

Opinion of Counsel for the Selling Shareholders. At the Closing Time, the Underwriter shall have received the opinion, dated as of the Closing Time, of Ropes Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for the Selling Shareholders, in a form and substance satisfactory to counsel for the Underwriter.

Opinion of Counsel for the Selling Shareholders. At the Closing Time, the Underwriter shall have received the an opinion, dated as of the Closing Time, of Ropes Wachtell, Lipton, Xxxxx & Xxxx LLPXxxx, special counsel for the Selling Shareholders, in a form and substance satisfactory to the Underwriter.

Opinion of Counsel for the Selling Shareholders. At Closing Time, the Underwriter shall have received the favorable opinion, dated as of Closing Time, of Ropes & Xxxxxxxx Xxxxxx Xxxxxxxx and Xxxx LLP, counsel for the Selling Shareholders, in a form and substance satisfactory to counsel for the Underwriter together with signed or reproduced copies of such letter for each of the other Underwriter to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriter may reasonably request, each in form and substance satisfactory to counsel for the Underwriter.

Opinion of Counsel for the Selling Shareholders. At the Closing Time, the Underwriter shall have received the favorable opinion, dated as of the Closing Time, of Ropes Xxxxxx, Xxxxx & Xxxx Xxxxxxx LLP, counsel for the Selling Shareholders, in a form and substance satisfactory to counsel for the UnderwriterUnderwriter to the effect set forth in Exhibit A hereto and to such further effect as counsel to the Underwriter may reasonably request.
