No Other Payment. The payment set out above or in accordance with the applicable SOW will be Consultant’s sole compensation under this Agreement.
No Other Payment. Employee acknowledges that the Consideration Payments, in whole or in part, represent consideration to Employee for the terms of this Agreement. Other than as expressly provided for herein, Employee shall receive no compensation or benefit from the Company after the Effective Date of this Agreement. In other words, Employee is not and shall not be entitled to any payment or other benefits other than those described in this Agreement. Employee also affirms that he has been paid and/or has received all compensation, wages, bonuses, commissions, and/or benefits to which he may be entitled. Except as set forth in this Agreement, Employee agrees that he is not entitled to any additional payment or benefits from the Company including, but not limited to expense reimbursements, bonuses, commissions, equity awards, attorneys’ fees, or any other compensation or benefit.
No Other Payment. The Settlement Sum constitutes the total cash outlay by Defendant in connection with the resolution and settlement of this Action. Defendant shall pay no other money separately in connection with this Settlement, including without limitation for any taxes, attorneys’ fees or costs, or expenses. Defendant shall be solely responsible for fees, costs, and expenses of Defense Counsel, Defendant’s accountants or tax attorneys, or other consultants or vendors independently retained by Defendant solely for Defendant’s benefit.
No Other Payment. Except as expressly provided in this Master Agreement or any Appendix or attachment to this Master Agreement, TRECOM and Customer shall each bear all of its own expenses arising from the performance of its obligations under this Master Agreement or any Work Documents, including personnel, facilities, utilities, equipment, supplies, clerical, and the like. Customer shall be responsible for all charges and expenses incurred in connection with any Letter of Credit.

Employee acknowledges that the Company has no prior legal obligation to provide the Consideration Benefits and that such payments, in whole or in part, represent consideration to Employee for the terms of this Agreement. Other than as expressly provided for herein or in the UK Agreement, Employee shall receive no compensation or benefit from the Company after the Effective Date of this Agreement. In other words, Employee is not and shall not be entitled to any payment or other benefits other than those described in this Agreement or in the UK Agreement. Employee also affirms that Employee has been paid and/or has received all compensation, wages, bonuses, commissions, and/or benefits to which Employee may be entitled. Except as set forth in this Agreement or in the UK Agreement, Employee agrees that Employee is not entitled to any additional payment or benefits from the Company, including, but not limited to, expense reimbursements, bonuses, commissions, equity awards, attorneys’ fees, or any other compensation or benefit.
No Other Payment. Except for the payment contemplated by Section 2.1 and any obligations contemplated in the Shareholder Commitments, there will be no other fees, costs or other payments payable by or on behalf of Purchaser or NRGG to or for the account of NRG for or in connection with Purchaser's purchase or ownership of the Membership Interests, the Company, Xxxxxx or the Company's co-generation facilities. Notwithstanding the previous sentence, Purchaser and NRGG each acknowledges that if Purchaser and NRGG elect to draw on the Supplemental Loan Arrangement, then Purchaser and NRGG will have obligations in connection with such draw(s) under the applicable agreements implementing the Supplemental Loan Arrangement.
No Other Payment. The payments, benefits and other entitlements set out in this letter constitute your complete entitlement and Cott's complete obligations whatsoever, including with respect to the cessation of your employment, whether at common law, statute or contract. For greater certainty, we confirm that you are not entitled to any further payment (including any bonus payments), benefits, perquisites, allowances or entitlements earned or owing to you from Cott pursuant to any employment or any other agreement, whether written or oral, whatsoever, all having ceased on the Termination Date without further obligation from Cott. All amounts paid or benefits provided to you pursuant to this letter shall be deemed to include all amounts owing pursuant to the Employment Standards Act, 2000, and such payments and benefits represent a greater right or benefit than that required under the Employment Standards Act, 2000.
No Other Payment. Except as herein specifically provided, no amounts are to be paid to you in respect of any other insurance, benefits, pension or retirement plan or programs.
No Other Payment. No payment shall be made by or due from Landlord in connection with any of the matters which are the subject of this Agreement, other than reimbursement by Landlord of any rent or operating expenses paid by Tenant and applicable to any period after the Effective Date.
No Other Payment. It is agreed and understood by the Parties that other than the payment obligations set forth in this Section 4, Licensee has no obligation to make any payment to Licensor or any third party under this Agreement.
