Net Agreed Value. If the amount of cash or the Net Agreed Value of any property distributed (except cash or property distributed pursuant to Section 12.3) with respect to a Unit exceeds the amount of cash or the Net Agreed Value of property distributed with respect to another Unit, each Unitholder receiving such greater cash or property distribution shall be allocated gross income in an amount equal to the product of (aa) the amount by which the distribution (on a per Unit basis) to such Unitholder exceeds the distribution with respect to the Unit receiving the smallest distribution and (bb) the number of Units owned by the Unitholder receiving the greater distribution.

Net Agreed Value. (i) In the case of cash, the amount thereof, (ii) in the case of Contributed Property, the fair market value of such property at the time of the contribution, reduced by any indebtedness either assumed by the Company upon such contribution or to which such property is subject at the time of the contribution, and (iii) in the case of property distributed to a Member, the fair market value of such property at the time of the distribution, reduced by any indebtedness either assumed by the Member upon such distribution or to which such property is subject at the time of distribution.

Net Cash Flow — all cash funds derived from operations of the Company (including interest received on reserves), without reduction for any noncash charges, but less cash funds used to pay current operating expenses and to pay or establish reasonable reserves for future expenses, debt payments, capital improvements, and replacements as determined by the Board. Net Cash Flow shall not include proceeds or costs included in the determination of Net Capital Proceeds but shall be increased by the reduction of any reserve previously established. Non-Declining Member — Section 6.3(b). Non-Disposing Member — Section 4.5(b)(iii)(A).

NONRECOURSE DEDUCTIONS - any and all items of loss, deduction or expenditures (described in Section 705(a)(2)(B) of the Code) that, in accordance with the principles of Treasury Regulation Section 1.704-2(b), are attributable to a Nonrecourse Liability.
