Seller and the Companies shall deliver all Notices and take all other actions necessary to facilitate the termination of the obligations and commitments of the Companies under the Company Indebtedness, the repayment in full of all obligations then outstanding thereunder, the elimination of the Companies from all agreements related thereto and the release of all Liens applicable to the Company Assets in connection therewith, in each case, on the Closing Date.
