Common use of Monitoring Committee Clause in Contracts

Monitoring Committee. (a) Lion and Delek Logistics shall jointly establish a committee (the “Monitoring Committee”) to review the performance of this Agreement and the provision of SUMF Items hereunder in an effort to ensure the smooth and efficient performance of this Agreement. The Monitoring Committee shall be comprised of one representative from Lion and one representative from Delek Logistics. In addition, other representatives that such Parties may reasonably require shall report to, and attend meetings of, the Monitoring Committee. (b) The Monitoring Committee shall meet, either in person, by telephone, or other means mutually acceptable to the members of the Monitoring Committee, within three months of the date of this Agreement and thereafter no less than once every six months throughout the Term (other than where the Parties agree that such a periodic meeting is not necessary) and as otherwise reasonably requested by a Party. (c) The Monitoring Committee shall endeavor in good faith to resolve issues raised by either of the Parties in respect of the performance of this Agreement and the provision of any SUMF Item hereunder. The Monitoring Committee shall review the performance of the Parties 11 in the provision and receipt of SUMF Items under this Agreement and shall consider any proposed improvement plans. (d) The Monitoring Committee shall have the authority to develop modifications or amendments to the Exhibits to this Agreement on behalf of the Parties; provided, however, to become effective any such modifications or amendments must be in writing and be duly signed by the Parties. The Monitoring Committee shall, as needed to carry out its duties under this Article 7, develop mutually agreed protocols and administrative procedures. ARTICLE 8

Monitoring Committee. (a) Lion and Delek Logistics The Parties shall jointly establish set up a monitoring committee (hereinafter the “Monitoring Committee”) to review the performance of this Agreement and the provision of SUMF Items hereunder in an effort to ensure the smooth implementation and efficient performance monitoring of this Agreementthe Study. The Monitoring Committee is composed of one (1) representative for each Party: · For UPDescartes: the Scientific Manager of UPDescartes identified in Article 3.1, · For IDF Innov: Xxxxxx GRAUDENS or any other representative appointed by the management of IDC Innov, · For BIOPHYTIS: the Scientific Manager of BIOPHYTIS identified in Article 3.1. The Monitoring Committee may be assisted, if necessary, by the persons and/or experts whose presence will be necessary with regard to the agenda. The presence of a Third Party intervenor shall be comprised admitted on the prior condition that each member of one representative from Lion and one representative from Delek Logistics. In addition, other representatives that such Parties may reasonably require shall report tothe Monitoring Committee has accepted this participation, and attend meetings of, the Monitoring Committeethat said intervener is bound by an obligation of confidentiality. (b) The Monitoring Committee shall meet, either in personaccordance with the procedures defined by its members (place, date, physical meeting, by telephonetelephone or videoconference), or other means mutually acceptable every six (6) months during the performance of the Study and two (2) months before the end of the Study, and whenever necessary at the request of one of its members. At the end of each meeting, minutes will be drawn up and sent to the all members of the Monitoring Committee, . Each Party shall make any comments on this report within three months fifteen (15) days of its communication. The absence of any comment from a Party on a report shall constitute validation of said report. Any substantive remarks made by a Party in a new version of the date of this Agreement and thereafter no less than minutes shall be taken into account once every six months throughout the Term (other than where again, which shall be submitted to the Parties agree that such under the same conditions until a periodic meeting report is not necessary) and as otherwise reasonably requested by a Party. (c) The Monitoring Committee shall endeavor in good faith to resolve issues raised by either of the Parties in respect of the performance of this Agreement and the provision of any SUMF Item hereunder. The Monitoring Committee shall review the performance of the Parties 11 in the provision and receipt of SUMF Items under this Agreement and shall consider any proposed improvement plans. (d) The Monitoring Committee shall have the authority to develop modifications or amendments to the Exhibits to this Agreement on behalf of the Parties; provided, however, to become effective any such modifications or amendments must be in writing and be duly signed definitively adopted by the Parties. The Monitoring Committee shall, shall draw up an end-of-study report to be sent to the Parties. The Parties shall discuss together at the meetings of the Monitoring Committee any difficulties encountered during the performance of the Study. Solutions to these difficulties will be examined within the framework of the Monitoring Committee and proposed to the Parties. Any decision affecting and/or modifying the rights and obligations of the Parties shall be approved by the Parties and shall be the subject of an amendment as needed to carry out its duties under this Article 7, develop mutually agreed protocols and administrative procedures.
