Member Requirements. A Member must remain a Member during the term of the Company and may dispose of all or any portion of its Company Interest only in strict accordance with the terms and conditions of this Company Agreement (including, without limitation, Article XII). Any attempted Disposition of all or any portion of its Company Interest, other than in strict accordance with this Company Agreement, shall be, and is hereby declared, null and void ab initio. The Members agree that breach of the provisions of this Section 6.1 may cause irreparable injury to the Company for which monetary damages (or other remedy at law) are inadequate in view of (i) the complexities and uncertainties in measuring the actual damages that would be sustained by reason of the failure of a Member to comply with such provisions and (ii) the uniqueness of the Company business and the relationship among the Members. Accordingly, the Members agree that the provisions of this Section 6.1 may be enforced by specific performance.

Health Equity In accordance with 42 CFR 438.206(c), the MCO must address health care disparities and ensure equitable access to and the delivery of services to all members, including those with limited English proficiency, diverse cultural and ethnic backgrounds, or disabilities; and regardless of gender, sexual orientation, or gender identity. "Equitable access" for purposes of this Agreement means meeting the standards as defined by the National Standards for Culturally and Linguistically Appropriate Services in Health and Health Care (xxxxx://xxxxxxxxxxxxxxxxxxx.xxx.xxx/clas ). In accordance with 42 CFR 438.206(c)(3), the MCO must ensure that the MCO, its subcontractors, and network providers provide physical access, reasonable accommodations, and accessible equipment for members with physical or mental disabilities. The MCO's health equity efforts must align with the requirements in Appendix C, Population Health and Quality. The MCO must participate in ODM's health equity initiatives as requested by ODM.

Member Requirements. The Association is not qualified to render legal advice regarding local or state statutes on possible licensing requirements. Any such questions should be addressed to local officials. Member shall not violate any federal or state laws and shall conduct himself in a cooperative, ethical, and professional manner that will reflect favorably upon the Association. Disregard of Association policies can result in termination of membership. Each Member shall pay applicable monthly Association dues of $10.00 per month via automatic debits from checking, debit, or credit card, commencing according to start date of dues below. If applicable, this amount will be included in financed monthly payment amount. Dues may be offset by residual fee income. Members paying for BWMA System in full will use same method of payment for Monthly dues.

Tenanting & Leasing: • Prior to formalizing leases with new tenants, you will meet with GNP Directors and/or staff to discuss new parties being introduced within the district. • You will act in good faith to encourage or require new tenants to work closely with the community and their neighbors and to apply to join as a stakeholder Member of Greektown Neighborhood Partnership. Building/Property Maintenance & Aesthetic: • You will consistently maintain a clean and safe sidewalk/pedestrian right-of-way in front of or surrounding your property/business. • Maintain appropriate signage for your building that is in good condition, adhering to City of Detroit signage and façade ordinances. • Maintain any private garbage receptacles near or on your property and ensure that staff respects community waste management equipment. • Match appropriate seasonal décor to the look and feel of the district and the surrounding properties in a timely manner. • Any signage, façade elements, seasonal décor, promotional materials, sidewalk furniture or other amenities should be positioned and maintained in a safe and secure manner so as not to create the possibility of harm to any property or persons. • Seasonal furnishings such as patios or outdoor seating should be maintained in accordance with the City of Detroit code of ordinances. • Ensure that all signage, façades, and other public displays conform with the Greektown district look and feel and maintain the historic character of the district.
