Managing Member; Officers. Galileo, Inc. shall continue to be the managing member of Galileo LLC after the Merger. The officers of Galileo General Partnership immediately prior to the Effective Time shall be the officers of the Surviving Entity, in each case until their respective successors are duly appointed and qualified.

Managing Member; Officers. (a) The Company shall be managed solely by the Managing Member except for matters that are expressly delegated to or reserved for the consent or approval of the Members at large. Except for such expressly delegated or reserved matters, the Managing Member shall have full and complete authority, power and discretion to manage and control the business, affairs and properties of the Company, to make all decisions regarding those matters, and to perform any and all other acts or activities customary or incident to the management of the Company’s business. Any actions taken by the Managing Member on behalf of the Company shall constitute the act of and shall serve to bind the Company. No Member other than the Managing Member shall have the authority to bind the Company.

  • Managing Member Unless otherwise expressly provided in this Agreement, the Managing Member or any of its Affiliates who hold any Interests shall not be entitled to vote in its capacity as holder of such Interests on matters submitted to the Members for approval, and no such Interests shall be deemed Outstanding for purposes of any such vote.

  • Management Committee The Members shall act collectively through meetings as a "committee of the whole," which is hereby named the "Management Committee." The Management Committee shall conduct its affairs in accordance with the following provisions and the other provisions of this Agreement:
