Common use of Maintenance of Property Clause in Contracts

Maintenance of Property. Each Credit Party shall maintain, and shall cause each of its Subsidiaries to maintain, and preserve all its Property which is used or useful in its business in good working order and condition, ordinary wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.

Maintenance of Property. Each Credit Party shall maintainshall, and shall cause each of its Subsidiaries to to, maintain, preserve and preserve protect (or caused to be maintained, preserved and protected) all of its Property which is used or useful Unencumbered Properties and all other material property and equipment necessary in the operation of its business in good working order and condition, in each case, in a manner consistent with how such Person maintained its Unencumbered Properties and other material property on the Closing Date, ordinary wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effectexcepted.

Maintenance of Property. Each Credit Party shall maintain, and shall cause each of its Restricted Subsidiaries to maintain, and preserve all its Property which is used or useful in its business in good working order and condition, ordinary wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.

Maintenance of Property. Each Credit Party shall maintain, and shall cause each of its Subsidiaries Except to maintain, and preserve all its Property which is used or useful in its business in good working order and condition, ordinary wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where the extent that failure to do so would could not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect, each Credit Party shall, in the Ordinary Course of Business, maintain and preserve all of its Property which is used or materially useful in its business in good working order and condition (ordinary wear and tear excepted) and make all necessary repairs thereto and renewals and replacements thereof.

Maintenance of Property. Each Credit Party shall maintainshall, and shall cause each of its Subsidiaries to, maintain their owned, leased, or operated Property material to maintain, and preserve all its Property which is used or useful in its business in good working order condition and conditionrepair, ordinary normal wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effectas caused by any Casualty Events.

Maintenance of Property. Each Credit Party shall maintainshall, and shall cause each of its Significant Subsidiaries to maintainto, maintain and preserve all its Property which is used or useful in its business in good working order and condition, ordinary wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where excepted, in such Credit Party’s reasonable judgment the failure to do so non-maintenance or non-preservation of which would not reasonably be expected to have, either individually or in the aggregate, have a Material Adverse Effect; provided that nothing in this Section shall require the making of any repair or replacement of or to any particular Property that would not be required in the exercise of sound business judgment.

Maintenance of Property. Each Credit Party shall maintainwill, and shall will cause each of its Subsidiaries to maintainConsolidated Party to, maintain and preserve all its Property which is used or useful in properties and equipment material to the conduct of its business in good repair, working order and condition, ordinary normal wear and tear excepted and shall make casualty and condemnation excepted, and will make, or cause to be made, in such properties and equipment from time to time all necessary repairs repairs, renewals, replacements, extensions, additions, betterments and improvements thereto as may be needed or proper, to the extent and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effectmanner customary for companies in similar businesses.

Each Credit Party shall maintainshall, and shall cause each Subsidiary of a Credit Party to, maintain all of its Subsidiaries to maintain, Properties and preserve all its Property which is used or useful in assets necessary for the conduct of its business in good condition, repair and working order and conditionorder, ordinary wear and tear excepted and shall make all necessary repairs thereto subject to damage and renewals and replacements thereof except where the failure destruction due to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effectcasualty events.

Each Credit Party shall make keep all necessary repairs thereto of its assets free and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effectclear of all Liens (other than Permitted Liens).

Maintenance of Property. Maintenance of Property. Each Credit Party shall maintain, and shall cause each of its Subsidiaries to maintain, and preserve all its Property which is used or useful in its business in good working order and condition, ordinary wear and tear excepted and subject to casualty and condemnation losses, and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect. This Section 4.5 shall not apply to Intellectual Property, which is exclusively addressed in Section 4.4.

Maintenance of Property. Each Credit Party shall maintain, and shall cause each of its Subsidiaries to maintain, and preserve all its Property which is used or useful in its business in good working order and condition, ordinary wear and tear excepted excepted, and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect; provided that nothing in this Section 4.5 shall prevent sales of property, consolidations or mergers in accordance with Sections 5.2 and 5.3.

Maintenance of Property. Each Credit Party shall maintainshall, and shall cause each of its Subsidiaries to to, maintain, preserve and preserve protect (or caused to be maintained, preserved and protected) all of its Property which is used or useful Unencumbered Properties and all other material property and equipment necessary in the operation of its business in good working order and condition, in each case, in a manner consistent with how such Person maintained its Unencumbered Properties and other material property on the Closing Date, ordinary wear and tear excepted and shall make all necessary repairs thereto and renewals and replacements thereof except where the failure to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effect.excepted. Each Credit Party shall maintain, and shall cause each maintain all of its Subsidiaries to maintain, material properties (business and preserve all its Property which is used or useful in its business otherwise) in good working order condition and condition, repair (ordinary wear and tear excepted excepted) and shall make pay and discharge all necessary repairs costs of repair and maintenance thereof and all rental and mortgage payments and related charges pertaining thereto and renewals and replacements thereof except where the failure not commit or permit any waste with respect to do so would not reasonably be expected to have, either individually or in the aggregate, a Material Adverse Effectany of its material properties.
