Live Performances. The Licensor hereby grants to Licensee a non-exclusive license to use the New Song in unlimited non-profit performances, shows, or concerts. Licensee is granted the right to receive compensation from performances with this license. For clarity and avoidance of doubt, the Licensee does NOT have the right to sell the Beat in the form that it was delivered to Licensee. The Licensee must create a New Song for its rights under this provision to vest. Any sale of the Beat in its original form by Licensee shall be a material breach of this Agreement and the Licensee shall be liable to the Licensor for damages as provided hereunder. Subject to the Licensee’s compliance with the terms and conditions of this Agreement, Licensee shall not be required to account or pay to Licensor any royalties, fees, or monies paid to or collected by the Licensee, or which would otherwise be payable to Licensor in connection with the use/exploitation of the New Song as set forth in this Agreement.

During each round, Judges will evaluate all performances based on vocal/musical ability, stage presence and overall performance and will be combined with an audience vote. The order of performances will be determined randomly. Finalists MAY NOT utilize live props or dancers during the Live Performances. Finalists may either: (i) accompany themselves; (ii) have accompaniment of live musical instruments or (iii) supply their own background tracks on a single CD. The CD with music and Finalist’s name clearly labeled should be submitted at least one hour prior to the start of the Live Performances. Background music must be clear of lead vocal singers; only musical band instruments are acceptable. However, the top three Finalists who will be performing The Star Spangled Banner must do so without any additional accompaniment or background tracks (i.e. a Capella). Live Performances. Licensee may not perform the song publicly in for-profit performances or in non-profit performances, including but not limited to, at a live performance (i.e. concert, festival, nightclub etc.).
Live Performances. As far as organizing live performances is concerned, the expenses shall be agreed upon between the parties on a case-by-case basis in accordance with existing legislation and financial availability. In case of festivals or exchanges of groups of artists in the field of performing arts, except if financial support has been previously agreed upon, the invitation shall be subject to finding , by the concerned groups, of the funds required to bear the expenses for participation.

Finalists who, during their performance, use any obscene, offensive, sexual or otherwise inappropriate behavior or gestures, including without limitation those referencing or depicting violence, nudity or explicit activity, or which are not in the spirit of the Contest or do not meet Sponsor’s standards for any reason, as determined by Sponsor in its sole discretion will be disqualified from the Contest. Finalists and their guests are not allowed to have contact with any Judge before or during the Live Performance. Contact includes verbal conversations and handshakes. Finalists, and/or their guests or associates who exhibit offensive behavior during any portion of the Live Performances may result in the disqualification of that Finalist from further competition. Offensive behavior includes poor sportsmanship, bad manners, and lack of decorum.
