Lease Supplement No. 1; PROVIDED, that only Mortgagee shall receive the sole executed chattel paper original thereof;
Lease Supplement No. (Federal Express Corporation Trust No. N671FE), dated ________ __, ____, between STATE STREET BANK AND TRUST COMPANY OF CONNECTICUT, NATIONAL ASSOCIATION, a national banking association, not in its individual capacity, but solely as Owner Trustee under the Trust Agreement (Federal Express Corporation Trust No. N671FE) dated as of May 1, 1997 (the "Lessor"), and FEDERAL EXPRESS CORPORATION, a Delaware corporation (the "Lessee").
Lease Supplement No. 2 and Lease Supplement No. 3 and each subsequent Lease Supplement entered into hereunder.
Lease Supplement No. 1: Lease Supplement No. 1, dated and executed by Lessor and filed for recording at the FAA (together with the CTA); and
Lease Supplement No. 1; provided that, only the Indenture -------- ---- Trustee shall receive the sole executed chattel paper original thereof;
Lease Supplement No. 1 (Federal Express Corporation Trust No. N670FE) dated _____________ (the "Lease Supplement") between the Owner Trustee, as lessor, and the Lessee, covering the Aircraft; (ii) the Trust Indenture; and (iii) the Trust Indenture Supplement, which Lease with the foregoing attachments (collectively, the "Lease Attachments") attached was filed at ____ _.m., C._.T. The Confidential Omissions were intentionally omitted from the FAA filing counterparts of the Lease and the Trust Indenture as containing confidential financial information. Based upon our examination of the above described instruments and of such records of the FAA as we deemed necessary to render this opinion, it is our opinion that:
Lease Supplement No. 1: in the form of Schedule 6 hereto, to be dated the Delivery Date, fully completed and executed by Lessor and Lessee, and filed for recording at the FAA;
Lease Supplement No. 1 (Federal Express Corporation Trust No. N584FE) dated _____________ (the "Lease Supplement") between the Owner Trustee, as lessor, and the Lessee, covering the Aircraft; (ii) the Trust Indenture; and (iii) the Trust Indenture Supplement, which Lease with the foregoing attachments (collectively, the "Lease Attachments") attached was filed at ____ _.m., C.D.
Lease Supplement No. 1 covering the delivery and acceptance of the Aircraft and dated the Delivery Date;
Lease Supplement No. LEASE SUPPLEMENT No. __, dated ________, 199_, between FIRST SECURITY BANK, NATIONAL ASSOCIATION, a national banking association, not in its individual capacity, but solely as Owner Trustee under the Trust Agreement ___, dated as of September 25, 1997, with the Owner Participant named therein (such Owner Trustee, in its capacity as such Owner Trustee being herein called "Lessor"), and CONTINENTAL AIRLINES, INC., a Delaware corporation, as Lessee ("Lessee"). Lessor and Lessee have heretofore entered into that certain Lease Agreement ___, dated as of September 25, 1997, relating to one Embraer Model EMB-145 aircraft (herein called the "Lease" and the defined terms therein being hereinafter used with the same meanings). The Lease provides for the execution and delivery of this Lease Supplement for the purpose of leasing the Airframe and Engines under the Lease as and when delivered by Lessor to Lessee in accordance with the terms thereof. The Lease relates to the Airframe and Engines described below, and a counterpart of the Lease to which this Lease Supplement is attached and of which this Lease Supplement is a part, is being filed for recordation on the date hereof with the Federal Aviation Administration as one document.
