Lease Commissions. No rental, lease, or other commissions with ------------------- respect to the Lease are payable to Seller, any partner of Seller, any party affiliated with or related to Seller or any partner of Seller or any third party whatsoever. All commissions payable under, relating to, or as a result of the Lease have been cashed-out and paid and satisfied in full by Seller or by Seller's predecessor in title to the Property.
Lease Commissions. (i) Commissions shall be earned when Client directly or indirectly leases or agrees to lease the Property, whether tenant is procured by Firm, the Client or anyone else during the term of this Agreement. Firm’s commission shall be calculated according to the schedule in Section 7.b.(ii). Commissions shall be paid in cash or by bank check.
Lease Commissions. A complete and correct list of all brokerage and leasing agreements affecting the Property, the Leases and any expansion or renewals thereof is set forth on Schedule 3.1(o) hereto (the “Brokerage Agreements”). Prior to the Closing, Seller shall, or shall cause the Company to pay all leasing commissions, whether or not then due, with respect to the Leases, to the effect that as of the date of Closing there shall be no commission or compensation payable under the Brokerage Agreements with respect to the Leases, whether or not then due. Purchaser shall have no obligation to pay any commission or other compensation under any Brokerage Agreement with respect to the expansion or renewal of any Lease.
Lease Commissions. All commissions payable under, relating to, ------------------- or as a result of the Lease will be cashed-out and paid and satisfied in full by Seller at or prior to Closing.
Lease Commissions. All leasing commissions payable in ----------------- connection with the Leases now in occupancy have been paid-in-full, including leasing commissions payable with respect to extensions, expansions and renewals which have not been exercised as of the date hereof or payable in the event a Tenant does not exercise a cancellation right under its Lease, except for lease commission obligations identified on Exhibit E-1.35. --------------
Lease Commissions. No rental, lease, or other commissions with ------------------- respect to the Lease is payable to Seller, any party affiliated with or related to Seller. The only commission obligation of Seller with respect to the Lease is set forth in the commission agreement between Seller and Leasing Agents dated January 31, 1994, a true and complete copy of which has been provided to Purchaser. Seller has heretofore paid to Leasing Agents $117,576.31 of the commission payable to Leasing Agents under the aforesaid commission agreement and the remaining balance of such commission ($120,143.69) shall be due and payable to Leasing Agents as provided in the aforesaid commission agreement. Except for the remaining $120,143.69 of the total commission in the amount of $237,720.00 payable to Leasing Agents as provided in the aforesaid commission agreement, no commissions shall be due or payable by Purchaser, Seller or any successor to the "Landlord" under the Lease as a result of the Lease or as a result of the exercise by the Tenant thereunder of any right or option in the Lease to extend the term of such Lease or to expand the space leased thereunder (unless such expansion shall occur as a result of the exercise of the expansion under Section 33.5 of the Lease and the commission is includable in the costs which are utilized in determining the amount of Base Rent to be paid by the Tenant for the Expansion Space under the Lease). Seller shall and does hereby indemnify and hold harmless Purchaser from and against any claim, whether or not meritorius, for any real estate commission, finder's fee, or like compensation in connection with the Lease or in connection with the exercise by Tenant thereunder of any right or option in the Lease to extend the term of such Lease or to expand the space leased thereunder, including any such claim by Leasing Agents, but excluding any such claim by Leasing Agents attributable to an expansion of the space leased by Tenant under the Lease as a result of the exercise of the expansion option set forth in Section 33.5 of the Lease, and only if the entire commission payable to Leasing Agents under such circumstances is includable in the costs which are utilized in determining the amount of Base Rent to be paid by the Tenant for the "Expansion Premises" under the Lease.
Lease Commissions. Objections and How to Handle Them: The owner may seek to strike this provision on the grounds that "I'm hiring you to sell it, not lease it; I don't want a lease!" Response: Explain the purpose of the provision: it is not to make this a lease listing, but is meant to provide for the possibility that a different transaction may ensue as a result of the marketing efforts. For example, a "sale" of property may turn into a ground lease, or pad lease; or the prospect procured by CBRE may be a user who would prefer to lease the entire parcel rather than buy it. In any case, if the owner's financial needs are met through the transaction, then CBRE should be paid even if the nature of the transaction changes as an unexpected opportunity presents itself. It may be necessary (for example, in sale of shopping center, or multitenant investment) to clarify that the agreement is not intended to constitute a leasing listing agreement, and that this provision is only intended to apply if a lease of [specify percentage, e.g., 80%, or all] of the property is made to a single tenant.
Lease Commissions. There are no commissions due or owing to any person in connection with any of the Leases as of the date hereof and no such commissions shall be due at Closing. Seller's representations set forth in this Section 4.1 shall not merge in the Deed and shall survive Closing for a period of one (1) year. If Buyer fails to bring an action for breach of any of Seller's representations set forth herein within one (1) year after Closing, Buyer may not thereafter bring any such action against Seller.
Lease Commissions. Lease Commissions. Buyer shall assume the payment of all leasing and brokerage commissions which may hereafter become due with respect to any Tenant Leases hereinafter executed prior to the Closing Date with Buyer's written consent.
