Common use of Independent Registered Public Accounting Firm Clause in Contracts

Independent Registered Public Accounting Firm. The accountants, KPMG LLP and Ernst & Young LLP, who have certified or shall certify the financial statements of the Partnership and delivered their report with respect to the audited consolidated financial statements included in the Registration Statement, the Disclosure Package and the Prospectus, were and are the independent registered public accounting firm with respect to such entities within the meaning of the Act and the applicable published rules and regulations thereunder and the rules and regulations of the Public Company Accounting Oversight Board.

Independent Registered Public Accounting Firm. The accountants, KPMG LLP and Ernst & Young LLP, who have certified or shall certify the financial statements of the Partnership and the General Partner and delivered their report with respect to the audited consolidated financial statements included in the Registration Statement, the Pricing Disclosure Package and the Prospectus, were and are the independent registered public accounting firm with respect to such entities within the meaning of the Act and the applicable published rules and regulations thereunder and the rules and regulations of the Public Company Accounting Oversight Board.
