The Company shall apply for the listing of the Shares on the NYSE and use its best efforts to cause the Shares to become so listed, subject only to official notice of issuance, prior to the Closing Date. The Company will timely file with the NYSE (and/or the Company’s then principal trading market for its Common Stock) all material documents and notices required by the NYSE (or such other principal trading market) of companies that have or will issue securities that are traded on the NYSE (or such other principal trading market).
