Common use of Execution Clause in Contracts

Execution. This Agreement may be executed in two or more counterparts, all of which when taken together shall be considered one and the same agreement and shall become effective when counterparts have been signed by each party and delivered to the other party, it being understood that both parties need not sign the same counterpart. In the event that any signature is delivered by facsimile transmission, such signature shall create a valid and binding obligation of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile signature page were an original thereof.

In such event the event that any signature is delivered by facsimile transmission, such signature signing party shall create a valid and binding obligation deliver an original of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile signature page were to each of the other parties within one business day of signing, and failure to do so deliver such originals shall result in the facsimile copy of that party's signature being treated as an original thereoforiginal.

In the event that any signature is delivered by facsimile transmission, such signature shall will create a valid and binding obligation of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile signature page were an original thereof.

Execution. This Agreement may be executed simultaneously in two or more counterpartscounterparts that, all of which when taken together together, shall be considered deemed an original and constitute one and the same agreement and shall become effective when counterparts have been signed by each party and delivered document. The signature of any Party to the counterpart shall be deemed a signature to the Agreement, and may be appended to, any other party, it being understood that both parties need not sign the same counterpart. In Facsimile and email transmissions of executed signature pages shall be deemed as originals and sufficient to bind the event that any signature is delivered by facsimile transmission, such signature shall create a valid and binding obligation of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile signature page were an original thereofParty.

This Agreement may be executed in two or more separate counterparts, each of which shall be deemed an original, but all of which when taken together shall be considered constitute one and the same agreement and shall become effective when counterparts have been signed instrument. Any party may execute this Agreement by each party and delivered transmitting a copy of its signature by facsimile to the other party, it being understood that both parties need not sign the same counterpartparties. In such event the event that any signature is delivered by facsimile transmission, such signature signing party shall create a valid and binding obligation deliver an original of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile signature page were to each of the other parties within one business day of signing, and failure to so deliver such originals shall result in the facsimile copy of that party's signature being treated as an original thereoforiginal.

When each Party has signed and delivered at least one counterpart to all other Parties, each counterpart shall be deemed an original and all counterparts, all of which when taken together together, shall be considered constitute one and the same agreement agreement, which shall be binding and shall become effective when counterparts have been signed by each party and delivered to on the other party, it being understood that both parties need not sign Parties hereto in accordance with the same counterpart. In the event that any signature is delivered by facsimile transmission, such signature shall create a valid and binding obligation terms of this Agreement as of the party executing (or on whose behalf such signature date the counterparts are delivered; electronic delivery is executed) acceptable to all Parties. This Agreement may be executed using electronic signatures and exchanged via electronic means, with the same force and effect as if such facsimile signature page were an original thereofsignatures for all purposes.

Any party and delivered executing this Agreement by facsimile signature shall immediately forward to the other party, it being understood that both parties need not sign the same counterpart. In the event that any signature is delivered by facsimile transmission, such signature shall create a valid and binding obligation of the party executing (or on whose behalf such signature is executed) with the same force and effect as if such facsimile an original signature page were an original thereofby overnight mail; provided, however, that the failure to do so will not affect the binding effect of this Agreement on such party.
