Entire Agreement; Changes. This Note, and the Agreement and ------------------------- Plan of Merger executed by Payee in connection with the issuance of this Note, contains the entire agreement between the parties hereto superseding and replacing any prior agreement or understanding relating to the subject matter hereof. Neither this Note nor any term hereof may be changed, waived, discharged or terminated orally but only by an instrument in writing signed by the party against which enforcement of the change, waiver, discharge or termination is sought.
