Common use of Entire Agreement and Amendment Clause in Contracts

Entire Agreement and Amendment. This Agreement, including all exhibits attached to it and incorporated into it, constitutes the entire agreement of the parties with respect to the matters contained herein. All attached exhibits are incorporated into and made a part of this Agreement. In the event of a conflict between the contents of an exhibit and those of the Agreement that is signed by both parties, the Agreement shall supersede and prevail. No modification of or amendment to this Agreement shall be effective unless such modification or amendment is in writing and signed by the authorized representatives of both parties. Any prior agreements or representations, either written or oral, relating to the subject matter of this Agreement is of no force and effect.
