It supersedes, and supersedes and replaces its terms govern, all prior agreementsor contemporaneous understandings, understandings and commitments with respect to term sheets, memoranda of understanding, sublicenses, representations, or other communications between the parties, oral or written, regarding such subject matter. This Agreement may be executed in counterparts all of which taken together shall constitute one single agreement between the parties.
