Entire Agreement; Amendment. This Agreement constitutes the entire --------------------------- agreement between the parties and supersedes all prior agreementsdiscussions, written or oral, among the parties hereto with respect to the subject matter hereof negotiations and contains the entire agreement among the parties with respect understanding relating to the subject matter hereof, whether written or oral. This Agreement may shall not be amended, supplemented or altered, enlarged, supplemented, abridged, modified, and no or any provisions hereof may be modified or waived, except by an instrument in a writing duly signed by each party all of the parties hereto.
