Employer Covenants. Company agrees that during the Term, Company shall disclose to Employee or provide Employee with access to trade secrets or confidential information of Company or its Subsidiaries; or place Employee in a position to develop business goodwill on behalf of Company or its Subsidiaries; or entrust Employee with business opportunities of Company or its Subsidiaries.

Employer Covenants. (a) The Company agrees, in consideration for the Executive’s covenants made herein, to (i) provide the Executive with Trade Secrets and Confidential Information of the Company such as those examples identified below, or access to such information; (ii) provide the Executive with goodwill support such as expense reimbursements in accordance with the Company’s policy limits, provide access to Confidential Information, and/or facilitate contact with suppliers, in order to help the Executive develop goodwill for the Company; and, (iii) provide the Executive with specialized training covering its products, sales techniques and/or other information. The agreements in this Section 6(a) are fully enforceable at the time they are made and are not contingent upon continued employment of the Executive. For purposes of this Agreement, “Trade Secrets” are information of special value, not generally known to the public, that the Company has taken steps to maintain as secret from persons other than those selected by the Company. “
Employer Covenants. (a) Directors & Officers Insurance. Employer shall maintain directors and officers insurance in an amount typical for companies of its size and nature of its business. At the time of executing this agreement, Employee acknowledges Employer has insufficient funds to procure directors & officers insurance. Employer agrees that when sufficiently liquidity exists, Employer will obtain directors & officers insurance.
Employer Covenants. Upon the execution of this Agreement by both parties, Employer will place the Employee in a position of special trust, and will provide the Employee with: (a) Confidential Information and access to such information; (b) specialized training, including self study materials and course work, classroom training, on-line training, on-the-job training, and instruction as to Employer’s products, services and methods of operations; and (c) goodwill support such as expense reimbursements in accordance with Employer’s policies, Confidential Information related to Employer’s current and prospective clients, customers, business associates, vendors and suppliers, and/or contact and relationships with current and potential clients, customers and business associates, in order to help the Employee develop goodwill for Employer. The foregoing is not contingent upon continued employment of the Employee for any length of time, but is contingent upon the Employee not working for or assisting a Competitive Business (as defined herein) and the Employee’s full compliance with the restrictions in Articles 2 and 3. The Employee specifically acknowledges that the items described in (a), (b) and (c) above will be items that the Employee has not previously been given and that the Employee would not be given but for the execution of this Agreement.

Employer Covenants. Company agrees that it will not disparage the Employee or his work for the Company and that it will instruct its representatives, agents, employees and the Releasees defined above to abide by same. However, nothing herein shall prevent Company and its agents, employees and representatives from making factually based statements about Employees performance or affiliation with Company for the purposes of required disclosures.
