Effective and Current. The Company will use its reasonable commercial efforts to keep the registration statement which registers the Underlying Common Stock pursuant hereto effective and the related prospectus current until the earlier of the date by which all of the registered Underlying Common Stock has been sold and the date that the Underlying Common Stock may be sold pursuant to Rule 144(k) promulgated under the Securities Act.
