Effect on Prior Agreement. Upon the execution and delivery of this Agreement by (a) the Company and (b) the Existing Investors representing the Majority Investors (as defined in the Prior Agreement), the Prior Agreement automatically shall terminate and be of no further force and effect and shall be superseded and replaced in its entirety as set forth in this Agreement.
Effect on Prior Agreement. Upon the execution and delivery of this Agreement by the Company, the Common Holders performing services for the Company holding a majority of the shares of Common Stock then held by the Common Holders, and the holders of at least a majority in interest of the shares of Series B Preferred Stock held by the Investors, the Prior Agreement automatically shall terminate and be of no further force and effect and shall be amended and restated in its entirety as set forth in this Agreement. Effect on Prior Agreement. This Agreement shall supersede and replace the Prior Agreement, effective as of the date of this Agreement, and the parties shall thereafter have no further rights or obligations under the Prior Agreement.
Effect on Prior Agreement. As of the Effective Date, this Agreement constitutes the entire agreement and understanding between the Parties to this Agreement and supersedes all prior and contemporaneous agreements, promises, negotiations and understandings between the Parties, whether oral or written, express or implied with respect to the subject matter of this Agreement.
Effect on Prior Agreement. The Prior Agreement is hereby amended in its entirety and restated herein. The Holders (as defined in the Prior Agreement) that do not execute this Agreement shall nonetheless be a party to and bound by this Agreement by reason of their execution of the Prior Agreement. All provisions of, rights granted and covenants made in the Prior Agreement are hereby waived, released and superseded in their entirety and shall have no further force or effect.
Effect on Prior Agreement. Upon execution of this Agreement by the Prior Investors holding a majority of the “Registrable Securities” under the Prior Agreement, the Prior Agreement shall automatically terminate and be of no further force and effect and shall be amended and restated in its entirety as set forth in this Agreement.
