Educational Grants. In this Joint Providership arrangement, Joint Provider may accept unrestricted educational grants on behalf of this meeting. If applicable, Joint Provider shall provide copies of all correspondence it sends requesting educational grants or other financial support for the CE program from organizations in the health care industry. All educational grants or financial support provided for the CE program shall be documented in the form of a written agreement between A.S.P.E.N. and the contributing organization. Joint Provider will be held responsible for all items promised to contributing organization in such an agreement. A.S.P.E.N. will not be held responsible for any such items. Joint Provider may not accept any commercial funds without the express approval of A.S.P.E.N. nor without a fully executed letter of agreement. Grants or commercial funding may be accepted as educational grants only and should be used to support the total course budget in accordance with established institutional policies and guidelines. Faculty/attendees may not be paid directly by industry for registration fees, travel, or honoraria. Acknowledgement in program materials must be stated as: “supported in part by educational grants from______.” Acknowledgment signs may also be used. Acknowledgements may not include mention of any specific product name, but may include the contributor’s name, mission and logo. Additional terms of commercial support: Arrangements for commercial exhibits/advertisements may not influence planning or interfere with the presentation, nor may they be a condition of the provision of commercial support for continuing education activities. Exhibits may not be in the meeting room. Participants must not be required to pass through exhibits to access the meeting room. Representatives of commercial interests may not engage in sales or promotion during the activity. Product advertisements may not appear in educational materials. Content must promote quality or improvements in healthcare, be non-biased and balanced, and must refer to products by their generic names whenever possible.

Educational Grants. Part-time Advisor shall be eligible for 100% tuition for up to 6 credit hours (or CEU equivalent) for each of the Fall, Winter, Spring and Summer semesters for employees only (no accrual/used as earned). Classes must be Xxxxxxxxxxx College courses.

(for guidance on how members may support the education of individual Health Care professionals refer to page 8 supporting third-party educational Conferences). examples of appropriate educational programmes and related considerations are as follows: • Scholarships professional organisations, hospitals and universities where Health Care professionals are in training may be eligible to receive grants to support scholarships. for guidance on how members may support scholarships and similar awards refer to page 8 supporting third-party educational Conferences. • Advancement of Healthcare Education Members may support Health Care professional education by donating funds to institutions or organisations for either accredited or non-accredited healthcare education. for further guidance on how members may support such education, refer to page 8 supporting third- party educational Conferences. • Research research grants to support customer-initiated studies may be permitted for programmes involving clinical or non-clinical research in areas of legitimate interest to the member. the member may provide funds for documented expenses, in-kind services, or free products to support clearly defined bona fide research activities of Health Care professionals where permitted by national laws, regulations and professional codes of conduct. all requests for research grants must be in writing from the requestor stating the nature and objective of the research activity. no support should be provided until a written agreement is signed by both parties and said agreement should provide for adverse event reporting where appropriate. full disclosure of the ...

  • Nonqualified Deferred Compensation Plans Effective on or before the Distribution Date, Columbia shall adopt, establish and maintain nonqualified deferred compensation plans for the benefit of employees of the Columbia Parties (the “Columbia Deferred Compensation Plans”) and shall establish one or more grantor trusts to be a source of providing benefits thereunder (the “Columbia Rabbi Trusts”) that in each case shall be substantially similar to the NiSource Deferred Compensation Plans and the grantor trusts maintained by NiSource with respect to the NiSource Deferred Compensation Plans (the “NiSource Rabbi Trusts”). As of the Distribution Date, the Columbia Parties shall assume and thereafter be solely responsible for all existing and future liabilities relating to Business Employees’ (and Deceased Business Employee survivors’ and beneficiaries’) (a) benefits accrued under the NiSource Deferred Compensation Plans prior to the Distribution Date and (b) benefits that accrue under the Columbia Deferred Compensation Plans on and after the Distribution Date. All beneficiary designations made by Business Employees and by survivors and beneficiaries of Deceased Business Employees under the NiSource Deferred Compensation Plans shall, to the extent applicable, be transferred to, and be in full force and effect under, the Columbia Deferred Compensation Plans until such beneficiary designations are replaced or revoked by the Business Employee (or the survivor or beneficiary of the Deceased Business Employee) who made the beneficiary designation. Following the Distribution Date, the NiSource Parties shall have no liability or obligation with respect to the benefits accrued by such Business Employees or by such survivors or beneficiaries of Deceased Business Employees under any of the NiSource Deferred Compensation Plans or with respect to any benefits accrued under the Columbia Deferred Compensation Plans. As soon as administratively practicable after the Distribution Date, NiSource shall cause the NiSource Rabbi Trusts to transfer to the Columbia Rabbi Trusts cash, life insurance policies or other assets having an aggregate fair market value equal to (i) the aggregate fair market value of all assets held in the NiSource Rabbi Trusts as of the Distribution Date multiplied by (ii) a percentage, the numerator of which shall be the lump sum present value of the benefits assumed by the Columbia Deferred Compensation Plans pursuant to this Section 3.03 and the denominator of which shall be the lump sum present value of all benefits accrued under the NiSource Deferred Compensation Plans immediately prior to the Distribution Date.

  • Compensation Plan The Compensation Plan adopted by the City Council shall provide for salary schedules, rates, ranges, steps and any other special circumstances or items related to the total compensation paid employees. Each position within the classified services shall be allocated to its appropriate class in the classification plan on the basis of duties and responsibilities. Each class shall be assigned a salary range or a rate established in the salary plan. All persons entering the classified service shall be compensated in accordance with the salary plan then in effect.

  • Incentive, Savings and Retirement Plans During the Employment Period, the Executive shall be entitled to participate in all incentive, savings and retirement plans, practices, policies and programs applicable generally to other peer executives of the Company and its affiliated companies, but in no event shall such plans, practices, policies and programs provide the Executive with incentive opportunities (measured with respect to both regular and special incentive opportunities, to the extent, if any, that such distinction is applicable), savings opportunities and retirement benefit opportunities, in each case, less favorable, in the aggregate, than the most favorable of those provided by the Company and its affiliated companies for the Executive under such plans, practices, policies and programs as in effect at any time during the 120-day period immediately preceding the Effective Date or if more favorable to the Executive, those provided generally at any time after the Effective Date to other peer executives of the Company and its affiliated companies.

  • Stock Option Plans; Employee Benefits 6.26.1 The Acquiror Company has no stock option plans providing for the grant by the Acquiror Company of stock options to directors, officers or employees.
