Common use of Duties and Reporting Relationship Clause in Contracts

Duties and Reporting Relationship. (a) The Executive shall continue his employment as the President and Chief Content Officer of the Company. In such capacity, the Executive shall be responsible for management of all aspects of the Company’s programming functions and all personnel working in such areas shall report to the Executive. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company, use his skills and render services to the best of his ability. The Executive shall perform such activities and duties consistent with his position as the Chief Executive Officer of the Company shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Chief Executive Officer of the Company or the General Counsel of the Company, other than passive investments.

The Executive shall perform such activities and duties consistent with his position as the Chief Executive Officer of the Company shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Chief Executive Officer of the Company or the General Counsel of the Company, other than passive investments.

In such capacity, the Executive shall be responsible primarily for management of all aspects supervising the financial affairs, including the information technology function, of the Company’s programming functions and all personnel working in such areas shall report to the Executive. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company, use his skills and render services to the best of his ability. The Executive shall perform such activities and duties consistent with his position as the Chief Executive Officer of the Company shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Chief Executive Officer of the Company or the General Counsel of the Company, other than passive investments.

The Executive shall perform such activities and duties consistent with his her position as the Chief Executive Officer of the Company shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Chief Executive Officer of the Company or the General Counsel of the Company, other than passive investments.

In such capacityCompany and Holdings, which shall include being the Executive shall be responsible for management head of all aspects each of the Company’s programming functions Human Resources, Facilities, Real Estate and all personnel working in such areas shall report to the ExecutiveSecurity functions. During the Term (as defined below), the Executive shall, on a full-time basis and consistent with the needs of the Company, shall use his her skills and render services to the best of his her ability, consistent with the needs of the Company and Holdings. The Executive shall perform such activities and duties consistent with his her position as that the Chief Executive Officer of the Company and Holdings (the “CEO”) shall from time to time reasonably specify and direct. During the Term, the Executive shall not perform any consulting services for, or engage in any other business enterprises with, any third parties without the express written consent of the Chief Executive Officer of the Company or the General Counsel of the CompanyCEO, other than charitable, civic and other non-business activities that do not interfere with her duties to the Company and Holdings, and passive investments.
