If requested by Lessee, Lessor shall deliver to Lessee or to Lessee's designee a bill of sale, in form and substance reasonably satisfactory to Lessex, xuly executed and acknowledged by Lessor, which shall be sufficient to convey and transfer to Lessee or its designee all of Lessor's right, title and interest in and to the item, free and clear of all liens and encumbrances whatsoever other than Permitted Encumbrances as set forth in Annex A. Disposal of Equipment. Provider will be responsible for the disposal of de-commissioned Equipment, pursuant to the terms of the applicable Equipment Schedules and Order(s) under the SAs. For the avoidance of doubt, Provider will comply with all Laws pertaining to the environment, hazardous substances and waste, health and safety, and water rights within any jurisdiction where the Services are undertaken.

If requested by Lessee, Lessors shall deliver to Lessee or to Lessee's designee a xxxx of sale or other document or instrument of conveyance, in form and substance reasonably satisfactory to Lessee, duly executed and acknowledged by Lessors, which shall be sufficient to convey and transfer to Lessee or its designee all of Lessors' right, title and interest in and to the item or other document or instrument of conveyance, free and clear of all liens and encumbrances whatsoever. Lessee may retain as its sole and absolute property the proceeds, whether they be cash, exchanged property or other, of any sale, transfer, exchange or other disposition of any such item or items.
