Development Manager. “Development Manager” shall mean HILP under the Development Management Agreement or any other Person retained in accordance with the terms of this Agreement to manage the development of a Project. 1.42
Development Manager. The Executive Committee shall either appoint or hire a manager of the development team who shall report to the Executive Committee. Such manager shall be referred to herein as the “Development Manager.” The term “Development Manager” is separate and distinct from the term “Developer” as defined in Section 1.1A and used in this Agreement. The Development Manager need not be a Developer.
Development Manager. The Participant who is responsible, in accordance with the terms of this Agreement, for carrying out Development Work. The Development Manager shall be a Participant. Reference to the "Development Manager" excludes any reference to such Participant in any other capacity. Development Work. The term Development Work shall have the meaning ascribed thereto in Section 5.1.1 hereof. Development Work shall include Joint Development Work. Disclosing Party. The term Disclosing Party shall have the meaning ascribed thereto in Section 9.3 hereof.
Development Manager. Each party will assign a development manager to oversee product definition and release scheduling. This team will be responsible for creating the requirements and reaching agreement for the new/changed content of each release. This team will recommend changes potentially to both BLS/Developer Studio and WAS-AE. The intent is to ensure that neither product introduces any enhancements that regress the functionality of the other or introduce any migration compatibility problems for IBM or Vision's respective customers. In addition, meetings will be held as needed with the product groups to discuss any new initiatives that IBM or Vision may want to integrate into a future release.
Development Manager. Seller represents and warrants that (i) it is the Development Manager of the Property by virtue of that certain Amended and Restated Development Management Agreement (the “Development Management Agreement”) dated December 17, 2010 among the State, Cherokee, and Seller and (ii) it has authority to execute this Contract on behalf of the State and Cherokee pursuant to the Development Management Agreement.
Development Manager. Development Manager shall manage the routine, day-to-day affairs of the Company and shall have the commensurate authority take all actions and make all expenditures with regard thereto, but only to the extent such specific action or expenditure is not a Major Decision, and is in accordance with the Business Plan.

Development Manager. From and after the Closing Date through the end of the “Term,” as such term is defined in the Development Management Agreement, Borrower shall cause Mortgage Borrower to provide competent and responsible development management for the Project by a Qualified Development Manager pursuant to the Development Management Agreement, in each case satisfying the criteria set forth herein. Unless waived by Administrative Agent in writing, which waiver may be withheld in Administrative Agent’s sole discretion, Development Manager shall be a Qualified Development Manager. Without Administrative Agent’s prior written consent (which consent Administrative Agent shall not unreasonably withhold, condition or delay) both as to the form of the Development Management Agreement and the identity of the Development Manager, Borrower shall not cause or permit Mortgage Borrower to enter into, modify or amend the Development Management Agreement, or consent to any change in control or identity of the Development Manager (to the extent such change in control or identity requires Mortgage Borrower’s consent under the terms of the Development Management Agreement), or otherwise retain the services of any company to provide development management services for the Project.
Development Manager. (a) Subject to the provisions of Sections 6.7 and 8.3, all decisions to be made by the Company with respect to its interest in Venture Six, whether as the manager of Venture Six or otherwise shall be made in the sole discretion of the Development Manager appointed by the Members under this Section 6.1.2. For purposes hereof, the Members hereby appoint CPI as the Development Manager. As such, CPI shall be a “manager” under the Act and, subject to the provisions of Sections 6.7 and 8.3, shall have authority to act on behalf of the Company with regard to any decision of the Company as the managing member of Venture Six and to execute on behalf of the Company, as a member of Venture Six, any document or agreement binding on Venture Six as it deems necessary or advisable; provided, however, the Development Manager shall not, without the Approval of the Management Committee or all Members, have the authority or right (1) to sell, transfer or otherwise dispose of the Development Activity Interest or part thereof other than as provided in Section 8.3 or Section 8.4, or (2) to cause the Company to execute or deliver any guarantee or indemnity from the Company in favor of any Person on behalf of Venture Six or any other Person. All guarantees and indemnities in favor of mortgage lenders or others with respect to liabilities or obligations of Venture Six shall be provided solely by Venture Six, or by CPI or its Affiliates directly, and not by the Company.
Development Manager. Unless provided otherwise by any applicable member control agreement or by a resolution adopted by the Board of Governors, the Development Manager shall have general responsibility for development of the Company's real estate development project, including but not limited to land planning, surveying, platting, completion of a development agreement with the City of Sauk Center, oversight of completion of improvements to the property and development of installation of project signage.
