Common use of Date and Time Clause in Contracts

Date and Time. The Closing shall take place remotely via exchange of documents and signatures. The Purchaser shall pay the Aggregate Purchase Price to the Company pursuant to Section 2(c)(ii)(A) on such date (such date, the “Closing Date”) that is one Business Day following (A) the date hereof and (B) the date on which the last of the conditions to the Closing set forth in Sections 6 and 7 below (other than conditions that by their nature are to be satisfied at the Closing, but subject to the satisfaction or waiver of those conditions) is satisfied or waived, or at such other date and location as may be agreed in writing by the Company and the Purchaser.
