Cooperation with Customer. The Contractor agrees to cooperate with the Department and Customers and perform all actions necessary to assist with all tasks in furtherance of the Department’s and Customer’s efforts to comply with the obligations under Titles 60FF and 60GG of the Florida Administrative Code (F.A.C.), as applicable. This includes, but is not limited to, adherence to the cloud computing requirements set forth in Chapter 60GG-4, F.A.C.

Cooperation with Customer. With effect from 25 May 2018, upon Customer’s request, Asure shall provide Customer with reasonable cooperation and assistance needed to fulfil Customer’s obligation under the GDPR including assisting in carry out a data protection impact assessment related to Customer’s use of the Services, to the extent Customer does not otherwise have access to the relevant information, and to the extent such information is available to Asure. Asure shall provide reasonable assistance to Customer in the cooperation or prior consultation with the Supervisory Authority in the performance of its tasks relating to Section 11.2 of this DPA, to the extent required under the GDPR. Asure will assist the Controller in ensuring compliance with its obligations pursuant to Articles 32 to 36 of the GDPR, taking into account the nature of processing the information available to the processor and make available to the Customer all information necessary to demonstrate compliance with the obligations set forth in Article 28 of the GDPR. Asure will allow for and contribute to audits, including inspections, conducted by the Customer or another auditor mandated by the Customer.
Cooperation with Customer. Licensor shall cooperate fully with Customer as necessary to provide the Services and shall disclose such information to Customer relating to Licensor, the Vendor Connect System, and Software as may be required or necessary to provide the Services. The parties agree that joint planning and experienced personnel are critical factors for successfully providing the Services.
Cooperation with Customer. Each subcontractor engaged by Supplier to perform a portion of the Services will make, execute and deliver to Customer such disclosures and agreements as Customer may from time to time reasonably request in order to comport with the requirements of applicable laws, regulations, rules and Third Party Agreements.

  • Cooperation with Litigation During and following the termination of Executive’s employment with the Company (regardless of the reason for Executive’s termination of employment with the Company and which party initiates the termination of employment with the Company), except as required by law, Executive agrees to cooperate with and make himself readily available to the Company, the Company’s General Counsel (or equivalent position within the Company) and / or its advisers, as the Company may reasonably request, to assist it in any matter regarding Company and its subsidiaries and parent companies, including giving truthful testimony in any litigation, potential litigation or any internal investigation or administrative, regulatory, judicial or quasi-judicial proceedings involving the Company over which Executive has knowledge, experience or information. The Company shall reimburse any reasonable expenses incurred by Executive as a consequence of complying with his obligations under this clause, provided that such expenses are approved in advance by the Company.

  • Cooperation with Voting Each of Santander Consumer, the Seller and the Issuer hereby acknowledges and agrees that it shall cooperate with the Indenture Trustee to facilitate any vote by the Instituting Noteholders pursuant to the terms of Section 7.6 of the Indenture.

  • Cooperation with Insurers Manager shall cooperate with and provide reasonable access to the Properties to representatives of insurance companies and insurance brokers or agents with respect to insurance which is in effect or for which application has been made.
