Common use of Cooperation by the Company Clause in Contracts

Cooperation by the Company. At any time following the earlier of (i) the Company consummating an Initial Public Offering of the Class A Common Stock or (ii) the first anniversary of the Emergence Effective Date, if any Stockholder shall transfer, assign, sell, convey or otherwise dispose of any Registrable Securities pursuant to Rule 144, the Company shall reasonably cooperate (subject to the terms and conditions of the Certificate of Incorporation) with such Stockholder, provide to such Stockholder such information as such Stockholder shall reasonably request and make publicly available information necessary to permit sales pursuant to Rule 144 for so long as necessary.
