Common use of Consent and Approvals Clause in Contracts

Consent and Approvals. There is no requirement applicable to Buyer to make any filing, declaration or registration with, or to obtain any permit, authorization, consent or approval of, any governmental authorities as a condition to the lawful consummation by Buyer of the transactions contemplated by this Agreement and the other agreements and instruments to be executed and delivered by Buyer pursuant hereto, except for filings the failure of making would not have a Material Adverse Effect on the transactions contemplated hereby.

Consent and Approvals.
