Common use of Confidential Relationship Clause in Contracts

Confidential Relationship. Any information and advice furnished by any party to this Agreement to the other party or parties shall be treated as confidential and shall not be disclosed to third parties without the consent of the other party hereto except as required by law, rule or regulation. The Manager hereby consents to the disclosure to third parties of (i) investment results and other data of the Manager or the Portfolio in connection with providing composite investment results of the Adviser and (ii) investments and transactions of the Manager or the Portfolio in connection with providing composite information of clients of the Adviser.

The Manager Adviser hereby consents to the disclosure to third parties of (i) investment results and other data of the Manager or the Portfolio Fund in connection with providing composite investment results and related information of the Adviser and (ii) investments and transactions of the Manager or the Portfolio in connection with providing composite information of clients of the AdviserSub-adviser.

By entering into this Agreement, rule or regulation. The Client expressly authorizes Manager hereby consents to provide any information that it obtains about Client to the disclosure broker-dealers through whom Manager executes transactions and to third parties of (i) Custodian to the extent necessary to provide Client investment results and other data of the Manager or the Portfolio in connection with providing composite investment results of the Adviser and (ii) investments and transactions of the Manager or the Portfolio in connection with providing composite information of clients of the Adviseradvisory services set forth herein.

The Manager All information disclosed as required by law, rule or regulation shall nonetheless continue to be deemed confidential. By execution of this Agreement, the Adviser hereby consents grants consent to the Subadviser and permits the disclosure to third parties its identity on the Subadviser’s representative list of (i) investment results and other data of the Manager or the Portfolio in connection with providing composite investment results of the Adviser and (ii) investments and transactions of the Manager or the Portfolio in connection with providing composite information of clients of the Adviserclients.
