Common use of Company Counsel Matters Clause in Contracts

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the each Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Hxxxxxx LLP, outside United States corporate counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in such form and substance as is reasonably satisfactory acceptable to the Placement Placment Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Sichenzia Rxxx Xxxxxxx Xxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, LLPXxxxxxx Legal LLC, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion and negative assurance letter of Hxxxxx Xxxxx Xxxxxxx LLP, and Bxxxx, LLPfavorable opinions of Xxxxxx & Xxxxxx and Xxxxxxxxx Law Offices, outside counsel for the Company counsel Company, or of other counsels reasonably satisfactory to the CompanyPlacement Agent, in each case dated the Closing Date and addressed to the Placement Agent, and in each case substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received (i) the favorable opinion of Hxxxxx and Bxxxx, Xxxxx Xxxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent, and (ii) a written statement providing certain “10b-5” negative assurances, addressed to the Representative and dated the Closing Date an), in a form satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, LLP[_____], outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and BxxxxXxxxxxx Business Law, LLPPC, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx Xxxxxxxx, PLC, corporate and Bxxxx, LLP, outside British Virgins Islands counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially including, without limitation, a negative assurance letter, each in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and BxxxxXxxxxxx Business Law, LLPPC, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxxfrom Sheppard, Mullin, Xxxxxxx & Xxxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and BxxxxXxxx & Xxxx, LLPLLC, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Xxxxx Lovells US LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the each Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Hxxxxxx LLP, outside United States corporate counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agentset forth on Annex A hereto.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, negative assurance letter from Xxxxx Xxxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, LLPKxxxxxx & Cxxxxxx, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Sichenzia Rxxx Xxxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, from ArentFox Schiff LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable written opinion and negative assurance letter of Hxxxxx and BxxxxXxxxxx Xxxxxx Xxxxxxx & Li LLC, LLP, outside U.S. counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, from Xxxxxxxxxx Xxxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Xxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Ellenoff Xxxxxxxx & Schole LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and BxxxxXxxxxx, Xxxxx & Xxxxxxx LLP, outside U.S. counsel for the Company Company, and Xxxxxx Group, BVI counsel to for the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

Company Counsel Matters. i. On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, Cxxxxx LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory as provided to the Placement AgentInvestors.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx Xxxxxx and BxxxxXxxxx, LLP, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.

On the Closing Date, the Placement Agent shall have received the favorable opinion of Hxxxxx and Bxxxx, LLPCxxxxxx Legal LLC, outside counsel for the Company counsel to the Company, dated the Closing Date and addressed to the Placement Agent, substantially in form and substance reasonably satisfactory to the Placement Agent.
