Commitment to Service. Dealer understands and agrees to be responsible for receiving, evaluating, and processing of all warranty claims, and making service repairs during the warranty term for Wave Products sold by Dealer. Dealer shall repair Wave Products using only authentic Maytronics parts and agrees to acquire and maintain an adequate inventory of routine service parts sufficient to meet anticipated customer demand. Such demands include without limitation the ability to service the products onsite at end-user’s location or at Dealer’s location(s) within a 48-hour period (i.e., from time of receipt to ready-ship). Maytronics agrees to furnish Dealer a master list of recommended stock service parts and direct pricing. Dealer understands and agrees that it shall be compensated for warranty labor and parts in accordance with the WAVEPRO Service Compensation Reimbursement Schedule (See ATTACHMENT B). TRAINING. Dealer agrees to employ or otherwise engage qualified personnel capable of servicing the Wave Products and performing needed repairs necessary to provide reasonable customer support. Maytronics will facilitate Sales and Service trainings either on-site at Dealer’s facilities or via webinar. Dealer agrees to accomplish full sales and service training by completing course sessions, and where applicable, practice assessments. Trainings will be offered by Maytronics at no charge, annually or as requested by Dealer. SALES GOALS. Authorized Dealers may opt out of selling one or more lines of Wave Products. In such event, Dealer forfeits representation of the relinquished product line(s) in its serviceable area. Maytronics shall retain the right to appoint a different dealer to represent the surrendered product line(s) in the forfeited geography. In any case, Dealer agrees to promote and sell a minimum of three (3) different Wave series models and a total of eight (8) Wave line pool cleaners per year, to maintain Authorized WAVEPRO Dealer status. Dealer understands and agrees that the year-over-year sales target for the WAVEPRO dealer network is 20% increase in sales per year. Dealer shall use its best efforts to meet or exceed the sales goals. As a valued select partner to Maytronics, Dealer agrees to take part in (i) establishing annual non-binding forecast goals, (ii) reviewing performance trends, (iii) working cooperatively with Maytronics sales professionals, and (iv) sharing pertinent market information, including but not necessarily limited to demo results, sales goals out...

EXHIBIT B FRANCISCAN MISSIONARY UNION Authorization and Consent for Medical Treatment ADULT (18 years of age or older as of date of signature and not otherwise subject to legal guardianship): If, while participating in a Franciscan Missionary Union mission trip, I require emergency medical treatment which I am not able to personally authorize by reason of disability, incapacity, illness or otherwise, I hereby grant to Franciscan Missionary Union and its agents and employees the right to authorize any such medical treatment deemed medically necessary by duly qualified medical personnel. I hereby agree to the release of any records necessary for such medical treatment or for referral, billing, or insurance purposes related to such medical treatment. I further hereby waive and release to the fullest extent allowed by law any claims or liability against Franciscan Missionary Union, its agents, employees or anyone connected with Franciscan Missionary Union, arising out, related to or in connection with such medical treatment, including without limitation any adverse results, complications, or problems that arise in connection therewith. Subject to payments or reimbursements from any medical insurance arranged for the undersigned by Franciscan Missionary Union relating to the mission trip, I agree to pay for the full cost of any medical expenses incurred in connection with any such medical treatment, including making any necessary reimbursements to Franciscan Missionary Union in connection therewith.

  • Service Commitment Newly hired nurses and currently employed nurses who voluntarily choose to relocate and receive a relocation allowance may be required to serve for a minimum of two years at their base before they will be considered for transfer to another base. Competitive Supplier, except as explicitly limited by the terms included in Exhibit A, shall be obligated to accept all Participating Consumers, regardless of their location or energy needs, subject to Competitive Supplier’s standard credit policies (to the extent permitted by law), Article 5.5 hereof, Exhibit A hereof and the terms of any approval or other order of the Department with respect to this ESA.

  • DVBE Commitment This section is applicable if Contractor received a disabled veteran business enterprise (“DVBE”) incentive in connection with this Agreement. Contractor’s failure to meet the DVBE commitment set forth in its bid or proposal constitutes a breach of the Agreement. If Contractor used DVBE subcontractor(s) in connection with this Agreement: (i) Contractor must use the DVBE subcontractors identified in its bid or proposal, unless the JBE approves in writing replacement by another DVBE subcontractor in accordance with the terms of this Agreement; and (ii) Contractor must complete and return to the JBE a post-contract certification form promptly upon completion of the awarded contract, and by no later than the date of submission of Contractor’s final invoice to the JBE. (The post-contract certification form is located at: xxxxx://xxx.xxxxxx.xx.xxx/documents/JBCM-Post- Contract-Certification-Form.docx) If the Contractor fails to do so, the JBE will withhold $10,000 from the final payment, or withhold the full payment if it is less than $10,000, until the Contractor submits a complete and accurate post-contract certification form. The JBE shall allow the Contractor to cure the deficiency after written notice of the Contractor’s failure to complete and submit an accurate post- contract certification form. Notwithstanding the foregoing and any other law, if after at least 15 calendar days, but no more than 30 calendar days, from the date of the written notice the Contractor refuses to comply with these certification requirements, the JBE shall permanently deduct $10,000 from the final payment, or the full payment if less than $10,000. The post-contract certification form shall include: (1) the total amount of money Contractor received under the Agreement, (2) the total amount of money and the percentage of work that Contractor committed to provide to each DVBE subcontractor; (3) the name and address of each DVBE subcontractor to which Contractor subcontracted work in connection with the Agreement; (4) the amount of money each DVBE subcontractor actually received from Contractor in connection with the Agreement, and the corresponding percentage this payment comprises of the total amount of money Contractor received under the Agreement; and (5) that all payments under the Agreement have been made to the applicable DVBE subcontractors. Upon request by the JBE, Contractor shall provide proof of payment for the work. A person or entity that knowingly provides false information shall be subject to a civil penalty for each violation. Contractor will comply with all rules, regulations, ordinances and statutes that govern the DVBE program, including, without limitation, Military and Veterans Code section 999.5.

  • Changes to Service We may, from time to time, modify the Service to reflect improvements and other changes and modifications to our network. In addition, we reserve the right to discontinue or limit Service as required to comply with or satisfy our obligations under applicable laws or regulations, including when changes to or interpretations of such laws and regulations have a material, adverse effect on the business, technical or economic feasibility of providing Service, as determined by us in our reasonable judgment.
