Change of Address Notice. Either Party may change its Notice address by giving notice to the other Party in the manner set forth in Section 7.01; provided, however, that no change of address Notice shall be effective until actually received by the other Party.
Change of Address Notice. Reference is hereby made to (i) that certain indenture and security agreement, dated as of March 8, 2023 (as amended, modified or otherwise supplemented, the "Indenture"), among TCW CLO 2023-1, Ltd., as issuer (the "Issuer"), TCW CLO 2023-1, LLC, as co-issuer (the "Co- Issuer") and Citibank, N.A., as collateral trustee, (ii) that certain collateral management agreement, dated as of March 8, 2023 (as amended, modified or otherwise supplemented, the "Collateral Management Agreement"), between the Issuer and TCW Asset Management Company LLC, as collateral manager (the "Collateral Manager"), (iii) that certain collateral administration agreement, dated as of March 8, 2023 (as amended, modified or otherwise supplemented, the "Collateral Administration Agreement"), among the Issuer, the Collateral Manager and Virtus Group, LP, as collateral administrator, (iv) that certain credit agreement, dated as of March 8, 2023 (as amended, modified or otherwise supplemented, the "Credit Agreement"), among the Issuer, as borrower, the Co-Issuer, as co-borrower, the lenders from time to time party thereto and Citibank, N.A., as loan agent and collateral trustee and (v) that certain income note paying agency agreement, dated as of March 8, 2023 (as amended, modified or otherwise supplemented, the "Income Note Paying Agency Agreement"), between TCW CLO 2023-1 Income Note, Ltd. and Xxxxxxxx, N.A., as income note paying agent and income note registrar. The Indenture, the Collateral Management Agreement, the Collateral Administration Agreement, the Credit Agreement and the Income Note Paying Agency Agreement are collectively referred to herein as the "Relevant Transaction Documents."
